All services under this Purchase Order shall be performed exclusively within the Belgium Brussels Capital Region, encompassing the nineteen municipalities of the region including but not limited to the City of Brussels, Ixelles, Uccle, Anderlecht, Woluwe-Saint-Lambert, and Saint-Gilles. The Environmental Engineer shall maintain a primary operational base at the BMEA headquarters located at Chaussée de Waterloo 1150, 1000 Brussels, Belgium. Any travel, site visits, or fieldwork conducted outside the Brussels-Capital Region must be pre-approved in writing by the Purchaser and shall be billed at the standard Belgian per diem rates as defined by the federal government.
The Environmental Engineer assigned to this Purchase Order must hold a minimum of a Master's degree in Environmental Engineering, Environmental Sciences, or a closely related discipline from an accredited Belgian or European higher education institution. The candidate must possess a valid professional registration with the Belgian Order of Engineers-Architects (Ordre des Ingénieurs-Conseils) and a minimum of seven (7) years of documented professional experience in environmental consulting within Belgium or the European Union. Fluency in both French and Dutch is mandatory, as all regulatory submissions and municipal communications in Belgium Brussels require bilingual documentation. Proficiency in English is required for all reporting to the Purchaser under this Purchase Order.
Payment shall be made in accordance with the following schedule stipulated in this Purchase Order:
- Advance Payment: 20% of the total contract value upon signature of this Purchase Order and submission of a valid Belgian bank guarantee.
- Progress Payments: Monthly invoices submitted by the 5th business day of the following month, payable within thirty (30) calendar days of receipt of a valid invoice bearing the Belgian VAT number.
- Final Payment: The remaining 10% shall be released upon successful completion of all deliverables, final acceptance by the BMEA, and submission of the closing Environmental Engineer report.
All payments shall be made via SEPA bank transfer to the supplier's Belgian bank account. Late payments shall accrue interest at the rate prescribed by the Belgian Federal Law of 2 August 2002 on late payment in commercial transactions.
- This Purchase Order is governed by and shall be interpreted in accordance with the laws of the Kingdom of Belgium, specifically the Belgian Code of Economic Law and the applicable environmental regulations of the Brussels-Capital Region.
- The Environmental Engineer shall comply with all applicable Belgian federal, regional (Brussels-Capital Region), and municipal environmental legislation, including the Brussels Environmental Code and the federal Decree on Environmental Impact Assessments.
- The Supplier shall maintain comprehensive professional liability insurance with a minimum coverage of €5,000,000, valid throughout the territory of Belgium, for the entire duration of this Purchase Order.
- Any disputes arising from this Purchase Order shall be resolved by the competent courts of Brussels, Belgium. The parties agree to attempt mediation through the Brussels Chamber of Commerce before initiating litigation.
- The Supplier shall not subcontract any portion of the Environmental Engineer services without prior written consent from the Purchaser. Any approved subcontractor must be established in Belgium and comply with all Belgian labour and social security regulations.
- All intellectual property, reports, data, and deliverables produced under this Purchase Order shall remain the exclusive property of the Brussels Metropolitan Environmental Authority upon full payment.
- This Purchase Order may be terminated by either party with a written notice of sixty (60) days. In the event of termination, the Supplier shall be compensated for all work completed and documented up to the effective date of termination.
