The Supplier shall provide the services of a licensed Environmental Engineer (CREA-registered, minimum 10 years of professional experience in environmental consulting in the state of Rio de Janeiro) to perform the following duties as part of this Purchase Order:

• Conduct a full Environmental Impact Assessment (EIA/RIMA) in accordance with CONAMA Resolution No. 237/1999 and IBAMA regulations applicable to projects in Brazil, Rio de Janeiro.
• Prepare and submit the Environmental License Application (Licença Ambiental) to the state environmental agency INEA (Instituto Estadual do Ambiente) in Rio de Janeiro.
• Develop the Environmental Management Plan (PMA) and the Environmental Monitoring Plan (PAMA) for the construction and operational phases.
• Perform hydrogeological, soil, air quality, and noise impact studies specific to the coastal zone of Rio de Janeiro, RJ.
• Provide ongoing technical supervision and monthly progress reports to the Buyer's project management team throughout the contract period.
• Coordinate with local municipalities, federal agencies (IBAMA, ANA), and community stakeholders in the Brazil, Rio de Janeiro region to ensure full regulatory compliance.
• Prepare the final Environmental Compliance Certificate and close-out documentation upon project completion.

• Payment shall be made in Brazilian Reais (BRL) via bank transfer (TED/PIX) to the Supplier's designated account in Brazil, Rio de Janeiro.
• 30% advance payment upon formal acceptance of this Purchase Order.
• 40% upon delivery and approval of the EIA/RIMA and Environmental License Application.
• 20% upon completion of the PMA/PAMA and all monitoring cycles.
• 10% upon delivery of the final Environmental Compliance Certificate and close-out documentation.
• All invoices must reference this Purchase Order number (VS-2025-0487) and shall be due within 30 calendar days of receipt.

• This Purchase Order is governed by the laws of the Federative Republic of Brazil, with jurisdiction in the courts of Rio de Janeiro, RJ.
• The Environmental Engineer engaged under this Purchase Order must hold a valid CREA registration and a professional liability insurance policy with a minimum coverage of R$ 2,000,000.00.
• All deliverables must comply with the technical standards of ABNT (Associação Brasileira de Normas Técnicas) and the environmental regulations of IBAMA and INEA applicable to Brazil, Rio de Janeiro.
• The Supplier warrants that the Environmental Engineer assigned to this Purchase Order shall not be simultaneously engaged in conflicting projects within a 50 km radius of the project site in Rio de Janeiro.
• Confidentiality: All data, site information, and project documentation related to this Purchase Order shall be treated as strictly confidential by both parties for a period of five (5) years following project completion.
• Termination: Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the termination date.
• Force Majeure: Neither party shall be liable for delays caused by natural disasters, government actions, or events beyond reasonable control, as defined under Brazilian Civil Code (Código Civil, Lei 10.406/2002).
• The Supplier shall comply with all labor, tax, and environmental obligations under Brazilian law for the duration of this Purchase Order.

The primary project site for all Environmental Engineer services under this Purchase Order is located at the Baía de Guanabara coastal zone, Brazil, Rio de Janeiro, RJ. The Supplier's Environmental Engineer shall have full access to the site during regular business hours (Monday to Friday, 08:00–17:00 BRT) and shall coordinate site visits with the Buyer's on-site project manager. All fieldwork must adhere to the safety protocols established by the Buyer and the applicable OSHA-equivalent Brazilian regulations (NRs – Normas Regulamentadoras).

By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the Environmental Engineer in Brazil, Rio de Janeiro. This Purchase Order becomes effective upon the signature of both authorized representatives.
