This Purchase Order authorizes the engagement of a qualified Environmental Engineer to provide comprehensive environmental consultancy services for the "Santiago Metropolitan Water Quality Improvement Project." The Environmental Engineer shall be responsible for conducting environmental impact assessments, designing mitigation strategies for industrial effluent discharge in the Maipo River basin, preparing compliance reports in accordance with the Chilean Environmental Law (Ley 19.300), and coordinating with the Superintendencia del Medio Ambiente (SMA) and the Comisión de Evaluación Ambiental (CEA) of the Santiago Metropolitan Region. All fieldwork, laboratory analysis coordination, and technical reporting shall be executed within the administrative boundaries of Chile Santiago, with particular focus on the communes of Maipú, Pudahuel, and San Bernardo where the project infrastructure is located.

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the Civil Code of the Republic of Chile and the Chilean Public Procurement Law (Ley 19.886) where applicable. Any disputes arising from this Purchase Order shall be resolved in the competent courts of Santiago, Chile.
- Payment Terms: Payment shall be made within thirty (30) calendar days from the receipt of a valid invoice (Factura) issued in accordance with Chilean tax regulations. Payments shall be executed via bank transfer to the account designated by Terra Verde Environmental Consulting SpA. All amounts are denominated in Chilean Pesos (CLP) and are subject to the applicable 19% IVA (Impuesto al Valor Agregado).
- Professional Qualifications: The lead Environmental Engineer must hold a valid professional license (Matrícula) issued by the Colegio de Ingenieros de Chile and a minimum of ten (10) years of experience in environmental engineering within Chile. All supporting Environmental Engineers must hold at least five (5) years of relevant experience.
- Compliance: The Environmental Engineer and all personnel engaged under this Purchase Order shall comply with all environmental regulations enforced by the Superintendencia del Medio Ambiente (SMA), the Ministry of Environment of Chile, and the specific ordinances of the Santiago Metropolitan Region.
- Confidentiality: All data, reports, and technical information generated under this Purchase Order in Chile Santiago shall be treated as confidential property of Andes Environmental Infrastructure S.A. and shall not be disclosed to third parties without prior written consent.
- Insurance: The supplier shall maintain professional liability insurance with a minimum coverage of CLP 500,000,000 and workers' compensation insurance (Seguro de Accidentes del Trabajo y Enfermedades Profesionales) as mandated by Chilean labor law (Ley 16.744).
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Environmental Engineer shall deliver all work-in-progress documentation and the buyer shall compensate for services rendered up to the termination date.
- Force Majeure: Neither party shall be liable for delays caused by natural disasters (including seismic events common to the Chile Santiago region), government actions, or other events beyond reasonable control, as defined under Chilean law.
- Intellectual Property: All reports, designs, and methodologies developed specifically for this project in Chile Santiago shall become the property of the purchasing entity upon full payment.
- Anti-Corruption: The supplier warrants that no part of the compensation under this Purchase Order has been or will be offered as a bribe or improper inducement, in compliance with Chilean anti-corruption legislation.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of Environmental Engineer services in Chile Santiago. This document constitutes a binding agreement upon execution by both authorized representatives.
