This Purchase Order is issued by Guangzhou Municipal Infrastructure Development Co., Ltd. (hereinafter referred to as the "Purchaser") to formally procure the professional services of a qualified Environmental Engineer and associated technical support team for the duration of the Guangzhou Riverside Industrial Zone Remediation and Sustainability Project. The Environmental Engineer shall be responsible for conducting comprehensive environmental impact assessments, soil and groundwater contamination analysis, air quality monitoring, and the development of a long-term ecological restoration plan for the designated industrial corridor in the Baiyun District of China Guangzhou.
The scope of work assigned to the Environmental Engineer includes, but is not limited to: (a) preparation of a full Environmental Impact Assessment (EIA) report in compliance with the Environmental Protection Law of the People's Republic of China and the Guangdong Provincial Environmental Regulations; (b) design of a phytoremediation and chemical treatment system for contaminated soil parcels spanning approximately 42 hectares; (c) quarterly air and water quality monitoring reports submitted to the Guangzhou Municipal Environmental Protection Bureau; (d) stakeholder engagement and public consultation sessions to be held in China Guangzhou; and (e) final certification of remediation completion in accordance with national standards GB 36600-2018 and GB 14554-93.

Payment shall be made in RMB (CNY) via bank transfer to the account designated by the Supplier. Invoices are due within thirty (30) calendar days of receipt. A 5% performance bond shall be retained from each milestone payment and released upon final acceptance of the Environmental Engineer's deliverables. All amounts are exclusive of applicable Value Added Tax (VAT) at the prevailing rate in China Guangzhou.
- This Purchase Order constitutes a binding agreement between the Purchaser and the Supplier upon signature by both parties. All services shall be performed in strict accordance with the laws of the People's Republic of China and the municipal regulations of China Guangzhou.
- The Environmental Engineer assigned as the Lead Consultant must hold a valid Class-A Environmental Impact Assessment Engineer certification issued by the Ministry of Ecology and Environment of China, along with a minimum of fifteen (15) years of documented experience in industrial remediation projects.
- The Supplier shall maintain comprehensive professional liability insurance with a minimum coverage of CNY 20,000,000 for the entire duration of the engagement in China Guangzhou.
- Any change in scope, schedule, or deliverables must be documented in a written Change Order signed by both parties. No verbal modifications to this Purchase Order shall be recognized.
- The Supplier warrants that all data, reports, and engineering designs produced by the Environmental Engineer team shall be original, free from intellectual property infringement, and shall become the sole property of the Purchaser upon full payment.
- Force majeure events, including but not limited to natural disasters, government-mandated lockdowns, or epidemics affecting China Guangzhou, shall extend the project timeline proportionally without penalty to either party.
- Disputes arising from this Purchase Order shall be resolved through arbitration at the China International Economic and Trade Arbitration Commission (CIETAC) in Guangzhou, under its then-current rules. The governing law shall be the law of the People's Republic of China.
- The Supplier shall comply with all occupational health and safety standards applicable to fieldwork in China Guangzhou and shall provide all necessary personal protective equipment for the Environmental Engineer team during on-site operations.
- Confidentiality: All project data, site coordinates, and proprietary remediation methodologies shared under this Purchase Order shall be treated as strictly confidential and shall not be disclosed to third parties without prior written consent of the Purchaser.
By signing below, both parties acknowledge that they have read, understood, and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of the Environmental Engineer services to be delivered in China Guangzhou. This document, together with any attached exhibits and appendices, forms the complete and exclusive agreement between the parties with respect to the subject matter herein.
