This Purchase Order is issued by Shanghai GreenScape Environmental Consulting Co., Ltd. to procure the professional services of a qualified Environmental Engineer to be deployed and stationed in China Shanghai for the duration of the project. The Environmental Engineer shall be responsible for the design, oversight, and regulatory compliance of all environmental impact assessments, wastewater treatment system upgrades, air quality monitoring programs, and soil remediation plans associated with the Phase III industrial development zone located in the Minhang District of China Shanghai.
The Environmental Engineer engaged under this Purchase Order must hold a valid PRC-registered professional engineering license in the environmental discipline, possess a minimum of eight (8) years of documented experience in industrial environmental engineering within China Shanghai or equivalent metropolitan regions, and demonstrate proficiency in the national standards GB 8978, GB 16297, and GB 18599 as applicable to the project scope.

5.1 This Purchase Order is governed by the laws of the People's Republic of China. Any disputes arising from the interpretation or execution of this Purchase Order shall be resolved through arbitration at the China International Economic and Trade Arbitration Commission (CIETAC) in China Shanghai.
5.2 The Environmental Engineer named under this Purchase Order shall commence duties no later than 1 July 2025 and shall remain on-site in China Shanghai for the full twelve (12) month contract period unless otherwise terminated in writing by either party with thirty (30) days' notice.
5.3 Payment terms: 30% advance payment upon acceptance of this Purchase Order; 40% upon completion of the EIA submission and wastewater design review; 30% upon final project acceptance and regulatory sign-off by the China Shanghai Municipal Environmental Protection Bureau.
5.4 The Environmental Engineer shall comply with all applicable environmental regulations in force in China Shanghai, including but not limited to the PRC Environmental Protection Law (2015 revision), the PRC Water Pollution Prevention and Control Law, and the PRC Air Pollution Prevention and Control Law.
5.5 The supplier shall provide a performance bond equivalent to 10% of the total Purchase Order value, to be held by the buyer for the duration of the project plus a 90-day defect liability period.
5.6 All deliverables, reports, and technical documentation produced by the Environmental Engineer under this Purchase Order shall be submitted in both Simplified Chinese and English, and shall be stored on the buyer's secure server located in China Shanghai.
5.7 The Environmental Engineer shall be subject to the buyer's site safety protocols and shall complete all mandatory occupational health and safety training specific to the China Shanghai industrial zone prior to commencing fieldwork.
The Environmental Engineer shall report to the project site at 1588 Jianshe Road, Minhang District, China Shanghai, on the first working day of July 2025. All project deliverables shall be submitted to the buyer's project management office in China Shanghai within the timelines specified in the attached Project Schedule (Appendix A, referenced but not reproduced in this Purchase Order).
This Purchase Order is deemed accepted upon written confirmation by the supplier within five (5) business days of the date of issue. Failure to confirm within this period shall render this Purchase Order null and void.

1. This Purchase Order (PO-2025-SH-0472) is the sole governing commercial document for the engagement of the Environmental Engineer for the Phase III project in China Shanghai. Any amendments must be executed in writing and signed by both parties.
