1. Description of Services – Environmental Engineer

This Purchase Order is issued by VERDE AMBIENTAL S.A.S. to formally request and authorize the engagement of a qualified Environmental Engineer to provide specialized consulting, assessment, and regulatory compliance services for the "Río Medellín Water Quality Restoration Initiative." All professional services under this Purchase Order shall be executed within the city of Colombia Medellín, Antioquia Department, in strict accordance with Colombian environmental legislation, including Law 99 of 1993 (National Environmental Code), Decree 1076 of 2015, and the applicable regulations issued by the Antioquia Regional Environmental Authority (CRA – Corporación Autónoma Regional para el Desarrollo Sostenible de Antioquia).

2. Scope of Work

The contracted Environmental Engineer shall perform the following duties and deliverables within the metropolitan area of Colombia Medellín:

Environmental Impact Assessment (EIA): Conduct a comprehensive baseline environmental study covering water quality, soil contamination, and air emissions along the Río Medellín corridor, from the Comuna 13 sector through to the confluence with the Río Cauca.
Regulatory Compliance Audit: Review and validate all existing environmental permits, discharge licenses, and waste management authorizations held by industrial and commercial entities operating within the service zone in Medellín, Antioquia.
Remediation Plan Development: Design a phased environmental remediation strategy for identified contamination hotspots, incorporating best available technologies and sustainable engineering practices aligned with Colombia's National Environmental Policy.
Community Engagement & Reporting: Prepare technical reports in Spanish for submission to the CRA and the Medellín Municipal Environmental Office (Oficina de Ambiente de la Alcaldía de Medellín), and conduct at least three public information sessions with local residents in the affected comunas.
Monitoring Protocol Design: Establish a 12-month post-remediation monitoring protocol with quarterly sampling schedules for key water and soil parameters.

4. Payment Terms

Payment shall be made in Colombian Pesos (COP) via bank transfer to the account designated by EcoIngeniería Ambiental Ltda.
30% advance payment upon acceptance of this Purchase Order and execution of the service contract.
40% upon delivery and approval of the Environmental Impact Assessment and Remediation Plan deliverables.
30% upon completion of all monitoring protocol implementation and final reporting to the CRA and Medellín Municipal authorities.
All invoices must include the NIT, tax registration details, and reference this Purchase Order number (PO-2025-ENV-00472).
Payment terms: Net 30 days from receipt of a valid invoice in Colombia.

5. Terms and Conditions

This Purchase Order is governed by the commercial and civil laws of the Republic of Colombia. Any disputes arising from this Purchase Order shall be resolved through the competent courts of Medellín, Antioquia, Colombia.
The Environmental Engineer engaged under this Purchase Order must hold a valid professional registration (cédula profesional) with the Colombian Ministry of Environment and Sustainable Development and must be registered with the relevant professional association in Medellín.
All work performed under this Purchase Order must comply with the Occupational Health and Safety regulations (SST) established by Colombia's Ministry of Labor and the applicable Antioquia regional standards.
The vendor shall maintain professional liability insurance with a minimum coverage of COP 500,000,000 for the duration of the engagement in Colombia Medellín.
Confidentiality: All data, samples, and reports generated under this Purchase Order are the exclusive property of VERDE AMBIENTAL S.A.S. and shall not be disclosed to third parties without prior written consent.
Termination: Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination, payment shall be made for all services rendered and approved up to the termination date.
Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies as defined under Colombian law.
This Purchase Order does not constitute a binding contract until a formal service agreement is executed by both parties. The terms herein serve as the commercial framework for negotiation and execution.

6. Acceptance and Authorization

By signing below, both parties acknowledge and agree to the terms set forth in this Purchase Order for the engagement of the Environmental Engineer for the specified services to be carried out in Colombia Medellín.
