This Purchase Order is issued by Kinshasa Environmental Consultancy Group (hereinafter referred to as "the Purchaser") to engage the services of a qualified Environmental Engineer for the duration of a twelve (12) month contract period. The Environmental Engineer shall be responsible for conducting comprehensive environmental impact assessments, water quality monitoring, waste management planning, and regulatory compliance audits across multiple industrial and municipal sites located within the city of Kinshasa and its surrounding provinces in the Democratic Republic of the Congo. The scope of work is aligned with the national environmental standards set forth by the Ministry of Environment, Sustainable Development and Tourism of the DR Congo, as well as international best practices endorsed by the United Nations Environment Programme (UNEP).

1. This Purchase Order is governed by the commercial laws of the Democratic Republic of the Congo. Any disputes arising from the execution of this Purchase Order shall be resolved through arbitration in Kinshasa, DR Congo, in accordance with the rules of the Kinshasa Chamber of Commerce.
2. The Environmental Engineer shall maintain all necessary professional licenses, insurance coverage (minimum USD 500,000 liability), and certifications required by the DR Congo Ministry of Environment throughout the contract period.
3. Payment shall be made in United States Dollars (USD) via bank transfer to the account designated by the Environmental Engineer. Invoices are due within thirty (30) days of receipt of a completed and approved deliverable.
4. The Environmental Engineer shall submit monthly progress reports to the Purchaser by the 5th business day of each month. All reports must be submitted in both French and English, in accordance with the official languages of the DR Congo.
5. All fieldwork, sampling, and site inspections shall be conducted within the administrative boundaries of Kinshasa and its immediate periphery. Travel to other provinces of the DR Congo requires prior written authorization from the Purchaser.
6. The Environmental Engineer is responsible for obtaining all necessary permits, access clearances, and local community notifications required to conduct environmental assessments and monitoring activities in DR Congo Kinshasa.
7. Intellectual property, data, and reports generated under this Purchase Order shall remain the exclusive property of the Purchaser. The Environmental Engineer shall not disclose, publish, or share any project data without written consent.
8. Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Environmental Engineer shall be compensated for all work completed and documented up to the date of termination.
9. The Environmental Engineer shall comply with all applicable environmental, health, and safety regulations in force in the DR Congo, including Decree No. 18/012 of 2018 on Environmental Protection and the National Environmental Management Act.
10. Force majeure events, including but not limited to civil unrest, natural disasters, or government-imposed restrictions in DR Congo Kinshasa, shall suspend obligations under this Purchase Order for the duration of the event, provided written notice is given within five (5) business days.

The Environmental Engineer shall commence all services no later than 1 July 2025. The final deliverable, comprising the complete environmental remediation strategy and a comprehensive twelve-month summary report, shall be delivered to the Purchaser's offices at 12 Avenue de la Paix, Gombe, Kinshasa, no later than 30 June 2026. All deliverables shall be submitted in both hard copy (three copies) and digital format (PDF and editable documents).

This Purchase Order is issued and authorized by the undersigned on behalf of Kinshasa Environmental Consultancy Group. By signing below, the Environmental Engineer acknowledges receipt of this Purchase Order and agrees to perform all services described herein in full compliance with the terms, conditions, and regulatory framework applicable in DR Congo Kinshasa.
