This Purchase Order is issued by Société Lyonnaise d'Infrastructures Durables S.A.S. (hereinafter referred to as the "Buyer") to ÉcoIngénierie Rhône-Alpes SARL (hereinafter referred to as the "Supplier") for the engagement of a qualified Environmental Engineer to perform comprehensive environmental impact assessments, regulatory compliance audits, and sustainability consulting services within the metropolitan area of France Lyon. The Environmental Engineer shall be responsible for evaluating the ecological footprint of the Buyer's proposed infrastructure development projects situated along the Rhône and Saône river corridors in France Lyon, ensuring full compliance with French environmental legislation (Code de l'Environnement), European Union directives, and the specific urban planning regulations of the Métropole de Lyon.

The services encompass, but are not limited to: hydrological and water quality monitoring in the France Lyon basin, air quality impact modelling for the conurbation, biodiversity surveys of protected habitats in the Parc de la Tête d'Or and the Vercors foothills adjacent to France Lyon, waste management strategy development, and the preparation of mandatory Environmental Impact Assessment (EIA) documentation required by the Préfecture du Rhône for project authorisation. The Environmental Engineer shall report directly to the Buyer's Project Director and shall coordinate with the local authorities of France Lyon, including the Direction Régionale de l'Environnement, de l'Aménagement et du Logement (DREAL) Auvergne-Rhône-Alpes.

  1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the French Republic. Any disputes arising from this Purchase Order shall be submitted to the exclusive jurisdiction of the Tribunal de Commerce de Lyon, France Lyon.
  2. Commencement & Duration: The Environmental Engineer shall commence duties on 01 July 2025 at the Buyer's project offices located in France Lyon. The engagement period is twenty-six (26) weeks, subject to extension by mutual written agreement.
  3. Payment Schedule: Invoices shall be submitted monthly in arrears. Payment shall be made within thirty (30) calendar days of receipt of a valid invoice, by bank transfer to the Supplier's designated account. Late payments shall accrue interest at the rate prescribed by Article L441-10 of the French Commercial Code.
  4. Qualifications: The Environmental Engineer assigned under this Purchase Order must hold a minimum of a Master's degree (Diplôme d'Ingénieur) in Environmental Engineering or a related discipline, be registered with the Ordre des Ingénieurs, and possess a minimum of eight (8) years of professional experience in environmental consulting within France or the European Union. The Engineer must demonstrate prior experience with projects in the France Lyon metropolitan area.
  5. Intellectual Property: All reports, data, models, and deliverables produced under this Purchase Order shall be the exclusive property of the Buyer upon full payment. The Supplier grants the Buyer an irrevocable, royalty-free licence to use, reproduce, and distribute all work product.
  6. Confidentiality: Both parties agree to maintain strict confidentiality regarding all information exchanged in connection with this Purchase Order. This obligation shall survive termination for a period of five (5) years.
  7. Insurance: The Supplier shall maintain professional indemnity insurance with a minimum cover of €5,000,000 and public liability insurance of €2,000,000 for the duration of the engagement in France Lyon. Certificates of insurance shall be provided prior to commencement.
  8. Termination: Either party may terminate this Purchase Order by providing thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the effective date of termination.
  9. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters affecting the France Lyon region, government mandates, or pandemics.
  10. Health, Safety & Environment: The Environmental Engineer shall comply with all applicable French occupational health and safety regulations (Code du Travail) and the specific environmental protection protocols in force in France Lyon during the execution of fieldwork and site visits.

By signing below, both parties acknowledge and accept all terms, conditions, and specifications set forth in this Purchase Order. This document constitutes a binding commercial agreement for the provision of Environmental Engineer services in France Lyon as described herein.
