2. Scope of Work and Description of ServicesThis Purchase Order is issued by the Baghdad Municipal Environmental Authority to formally engage a qualified Environmental Engineer and associated technical team to deliver comprehensive environmental assessment, monitoring, and remediation services within the metropolitan area of Iraq Baghdad. The scope of work encompasses the following deliverables:

The Environmental Engineer assigned under this Purchase Order must meet the following minimum qualifications:
- A minimum of a Bachelor's degree in Environmental Engineering, Civil Engineering, or a closely related discipline from an accredited university, with a preference for candidates holding a Master's degree or PhD.
- A minimum of eight (8) years of progressive professional experience in environmental consulting, with at least three (3) years of direct fieldwork conducted within Iraq or the broader Middle East region.
- Valid professional licensure as a registered Environmental Engineer with the Iraqi Engineers Syndicate, Baghdad Chapter.
- Demonstrated expertise in air quality modeling (AERMOD, CALPUFF), water resources management, and hazardous waste characterization in accordance with Iraqi Environmental Protection Law No. 27 of 2011.
- Proven experience in preparing Environmental Impact Assessments (EIA) and Environmental Management Plans (EMP) for projects located in Iraq Baghdad and surrounding governorates.
- Fluency in Arabic and professional working proficiency in English. All technical reports and deliverables shall be submitted in both languages.
- Availability to conduct on-site inspections at various locations throughout Iraq Baghdad, including industrial zones, residential districts, and riverine areas, with a minimum of 60% field presence.
- Payment Terms: Payment shall be made in monthly installments within thirty (30) calendar days of receipt of an approved invoice. The total contract value of 186,500,000 Iraqi Dinars (IQD) shall be disbursed in accordance with the milestone schedule attached as Annex A to this Purchase Order.
- Performance Security: The Supplier shall provide a bank guarantee equivalent to ten percent (10%) of the total Purchase Order value, issued by a licensed Iraqi bank, valid for the duration of the contract plus sixty (60) days.
- Commencement and Duration: Services shall commence on 1 July 2025 and shall continue for a period of twelve (12) months, subject to satisfactory performance evaluation. The Environmental Engineer must be on-site in Iraq Baghdad within five (5) business days of the commencement date.
- Compliance with Iraqi Law: All services rendered under this Purchase Order shall comply with the laws of the Republic of Iraq, including but not limited to the Iraqi Environmental Protection Law, the Iraqi Labor Law, and all applicable municipal regulations governing the city of Iraq Baghdad.
- Intellectual Property: All reports, data, models, and technical documents produced by the Environmental Engineer in the course of this engagement shall be the exclusive property of the Baghdad Municipal Environmental Authority. The Supplier shall not reproduce, publish, or distribute any deliverables without prior written consent.
- Confidentiality: The Supplier and the assigned Environmental Engineer shall maintain strict confidentiality regarding all sensitive environmental data, site-specific findings, and proprietary information pertaining to Iraq Baghdad infrastructure and industrial operations.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination for convenience, the Buyer shall compensate the Supplier for all services rendered up to the termination date. Termination for cause shall be effective immediately upon written notice.
- Dispute Resolution: Any disputes arising from or in connection with this Purchase Order shall first be subject to amicable negotiation. Failing resolution within thirty (30) days, the dispute shall be referred to arbitration in accordance with the rules of the Iraqi Arbitration Center, Baghdad, Iraq. The seat of arbitration shall be Iraq Baghdad.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Iraq. The courts of Iraq Baghdad shall have exclusive jurisdiction over any matters not subject to arbitration.
By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order. This document constitutes a binding agreement for the procurement of Environmental Engineer services in Iraq Baghdad and shall remain in full force and effect until the completion of all deliverables and final payment.
