This Purchase Order is issued by GreenScape Environmental Consulting Ltd. to engage the services of a qualified Environmental Engineer for the comprehensive environmental impact assessment and remediation planning of the Tel Aviv Port Expansion Project. The Environmental Engineer shall be responsible for conducting soil and groundwater contamination surveys, air quality monitoring, noise impact analysis, and the preparation of a full Environmental Impact Statement (EIS) in compliance with the Israeli Planning and Building Law, 5725-1965, and the regulations of the Israel Nature and Parks Authority (INPA) and the Ministry of Environmental Protection, Tel Aviv Regional Office.
The Environmental Engineer must hold a valid license issued by the Israeli Engineers Association (IAE) and possess a minimum of ten (10) years of professional experience in environmental engineering within Israel. All fieldwork, laboratory analysis, and reporting shall be conducted within the Tel Aviv-Yafo municipality boundaries and in accordance with Israeli environmental standards (SII standards) and applicable EU directives adopted under bilateral agreements.

- 5.1 This Purchase Order constitutes a binding agreement between GreenScape Environmental Consulting Ltd. (hereinafter "Buyer") and TerraNova Environmental Engineering Services Ltd. (hereinafter "Vendor") for the provision of Environmental Engineer professional services in Israel Tel Aviv.
- 5.2 The Environmental Engineer and all supporting personnel shall comply with all applicable Israeli labor laws, occupational health and safety regulations (SII 1200 series), and environmental protection statutes enforced by the Ministry of Environmental Protection in Tel Aviv.
- 5.3 Payment shall be made in Israeli New Shekels (ILS) via bank transfer to the account specified in Section 1. Invoices must be submitted within five (5) business days of milestone completion. Payment is due within thirty (30) calendar days of invoice receipt.
- 5.4 The Vendor warrants that the Environmental Engineer assigned to this project holds a current, unrestricted license from the Israeli Engineers Association and carries professional indemnity insurance of no less than ILS 5,000,000 per occurrence.
- 5.5 All intellectual property, data, reports, and deliverables produced under this Purchase Order shall be the exclusive property of the Buyer. The Vendor shall not reuse, publish, or disclose any project-specific information without prior written consent.
- 5.6 The Vendor shall maintain full compliance with the Israeli Protection of Privacy Law, 5741-1981, and the General Data Protection Regulation (GDPR) as applicable to cross-border data transfers involving environmental monitoring data collected in Tel Aviv.
- 5.7 In the event of a force majeure event (including but not limited to natural disasters, government-mandated shutdowns, or civil unrest in Israel Tel Aviv), either party may suspend performance without penalty, provided written notice is given within forty-eight (48) hours.
- 5.8 Disputes arising from this Purchase Order shall be resolved through binding arbitration in Tel Aviv, Israel, in accordance with the rules of the Tel Aviv Arbitration Center, conducted in Hebrew or English at the Buyer's election.
- 5.9 This Purchase Order is governed by and construed in accordance with the laws of the State of Israel. The courts of Tel Aviv shall have exclusive jurisdiction.
- 5.10 The Vendor shall not subcontract any portion of the Environmental Engineer services without the prior written approval of the Buyer. Any approved subcontractor shall be bound by the same terms and conditions set forth herein.
By signing below, both parties acknowledge and agree to all terms, conditions, pricing, and scope of work outlined in this Purchase Order for the engagement of Environmental Engineer services in Israel Tel Aviv. This document is valid for a period of thirty (30) days from the date of issue.
