This Purchase Order is issued by Milan Environmental Compliance Group S.r.l. to engage the services of a qualified Environmental Engineer for the execution of environmental impact assessments, regulatory compliance audits, and sustainability consulting projects within the metropolitan area of Italy Milan. The Environmental Engineer shall provide all technical expertise, fieldwork, laboratory coordination, and reporting services as detailed in the line items below.

The Environmental Engineer is required to hold a valid professional registration with the Order of Engineers of Milan and to comply with all applicable Italian environmental legislation, including Legislative Decree 152/2006 (Environmental Code), as well as any regional regulations issued by the Lombardy Regional Authority governing environmental protection in the Milan metropolitan zone.

4.1 – Place of Performance: All services under this Purchase Order shall be performed at the Buyer's facilities and project sites located in Italy Milan and its immediate metropolitan area, unless otherwise agreed in writing. The Environmental Engineer shall bear all travel and accommodation costs within the Milan metropolitan zone.

4.2 – Commencement and Duration: The Environmental Engineer shall commence services no later than 1 July 2025. The term of this Purchase Order shall be twelve (12) months from the date of commencement, with the option of renewal for an additional twelve (12) months upon mutual written agreement.

4.3 – Payment Terms: Invoices shall be submitted monthly in arrears. Payment shall be made within thirty (30) calendar days of receipt of a valid invoice via bank transfer to the account designated by the Environmental Engineer. Late payments shall accrue interest at the rate prescribed by Italian Civil Code Article 1284.

4.4 – Professional Standards: The Environmental Engineer shall perform all duties with the diligence, competence, and care expected of a registered professional engineer in Italy Milan, in full compliance with the Code of Ethics of the Order of Engineers of Milan and all applicable Italian and European environmental regulations.

4.5 – Insurance and Liability: The Environmental Engineer shall maintain professional indemnity insurance with a minimum coverage of EUR 500,000 per claim for the entire duration of this Purchase Order. A certificate of insurance shall be provided to the Buyer prior to commencement of services.

4.6 – Confidentiality: All data, reports, and information exchanged under this Purchase Order shall be treated as strictly confidential. The Environmental Engineer shall not disclose any proprietary information of the Buyer to third parties without prior written consent, in accordance with Italian data protection law (GDPR and Legislative Decree 196/2003).

4.7 – Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of material breach, the non-breaching party may terminate with fourteen (14) days' notice. Upon termination, the Environmental Engineer shall deliver all completed and in-progress work products to the Buyer.

4.8 – Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Italian Republic. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the Courts of Milan, Italy Milan.

By signing below, both parties acknowledge and agree to all terms, conditions, and line items set forth in this Purchase Order. This document constitutes a binding agreement for the engagement of the Environmental Engineer for the services described herein, to be executed in Italy Milan.
