This Purchase Order is issued by Société Ivoirienne de Développement Durable (SIDD) to formally request and authorize the engagement of a qualified Environmental Engineer to provide comprehensive environmental assessment, compliance, and sustainability consulting services for the proposed industrial development project located in the Vridi Industrial Zone, Ivory Coast Abidjan. The Environmental Engineer shall be responsible for conducting all phases of environmental due diligence, preparing regulatory submissions to the Ivorian Ministry of Environment and Sustainable Development, and ensuring full compliance with the national environmental code (Loi n° 2019-425) and all applicable municipal regulations governing the Abidjan metropolitan area.

The Environmental Engineer engaged under this Purchase Order must satisfy the following minimum qualifications: a minimum of ten (10) years of professional experience in environmental engineering within West Africa; a valid professional license issued by the Ordre des Ingénieurs de Côte d'Ivoire; demonstrated prior experience with industrial EIA projects in the Ivory Coast Abidjan metropolitan region; proficiency in both French and English for all technical documentation and regulatory submissions; and membership in a recognized professional environmental engineering body. The Environmental Engineer shall be the sole point of technical authority for all environmental matters pertaining to this project and shall report directly to the Procurement Director of SIDD.
- Payment Schedule: Payment shall be made in four (4) equal installments of 16,500,000 XOF each, due upon completion and written acceptance of each major project milestone as defined in the attached Statement of Work.
- Payment Method: All payments shall be made via bank transfer to the supplier's designated account at Société Générale Côte d'Ivoire, Abidjan branch. The supplier shall issue a compliant tax invoice (facture) for each installment.
- Payment Terms: Net 30 days from the date of invoice receipt and milestone acceptance. Late payments shall accrue interest at the rate of 1.5% per month as stipulated under Ivorian commercial law.
- Taxes and Duties: All applicable Ivorian taxes, including the 18% VAT (TVA) and any withholding tax, shall be included in the quoted prices. The supplier is responsible for all tax obligations arising from this Purchase Order in Ivory Coast Abidjan.
- Validity: This Purchase Order is valid for a period of ninety (90) days from the date of issue. The supplier must confirm acceptance in writing within fifteen (15) business days.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Environmental Engineer shall be compensated for all work completed and documented up to the termination date.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Côte d'Ivoire. Any disputes shall be resolved by the competent commercial courts of Abidjan, Ivory Coast.
- Confidentiality: All data, reports, and findings produced by the Environmental Engineer in the course of this engagement shall remain the exclusive property of SIDD and shall not be disclosed to third parties without prior written consent.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of the Environmental Engineer for the described services in Ivory Coast Abidjan. This document constitutes a binding commercial agreement upon execution by both authorized representatives.
