This Purchase Order is issued by Grupo Ambiental del Valle, S.A. de C.V. to formally request and authorize the engagement of a qualified Environmental Engineer to perform comprehensive environmental impact assessment, regulatory compliance auditing, and sustainability consulting services. All professional services under this Purchase Order shall be executed within the jurisdiction of Mexico, Mexico City, in strict accordance with the Federal Environmental Law (Ley General del Equilibrio Ecológico y la Protección al Ambiente), the Mexico City Environmental Regulation (Reglamento de Protección Ambiental del Distrito Federal), and all applicable municipal and federal environmental statutes in force in Mexico.
The Environmental Engineer engaged under this Purchase Order shall hold a valid professional license (cédula profesional) issued by the Secretaría de Educación Pública of Mexico, a minimum of ten (10) years of documented experience in environmental engineering within Mexico, and demonstrated familiarity with the regulatory frameworks governing industrial operations, waste management, air quality monitoring, and water resource protection in Mexico City and the surrounding metropolitan area.

- 4.1 – This Purchase Order constitutes a binding agreement between the parties upon signature. All services shall be rendered by a licensed Environmental Engineer or a team led by a licensed Environmental Engineer registered with the Colegio de Ingenieros de México, A.C., with primary office and operational base in Mexico, Mexico City.
- 4.2 – The Service Provider shall ensure that the Environmental Engineer assigned to this Purchase Order maintains all necessary professional certifications, insurance coverage (including professional liability insurance of no less than MXN 5,000,000), and compliance with the labor and social security obligations established under Mexican federal law (Ley Federal del Trabajo and Ley del Seguro Social).
- 4.3 – All deliverables, reports, assessments, and documentation produced under this Purchase Order shall be prepared in Spanish, the official language of Mexico, and shall be formatted in accordance with the technical standards published by the Comisión Nacional de Normalización (CONACYT) and the Instituto Mexicano de Normalización (IMNC).
- 4.4 – The Environmental Engineer shall conduct all fieldwork, sampling, and site inspections within the geographic boundaries of Mexico, Mexico City, unless otherwise authorized in writing by the Purchasing Party. Any work extending beyond the Mexico City metropolitan area shall require a written amendment to this Purchase Order.
- 4.5 – Payment terms: Net 30 days from the date of invoice receipt. Invoices shall be issued in Mexican Pesos (MXN) and shall include the applicable Value Added Tax (IVA) at the current rate of 16% as established by the Ley del Impuesto al Valor Agregado of Mexico. Payment shall be made via bank transfer to the account designated by the Service Provider.
- 4.6 – The Service Provider warrants that all environmental data, analyses, and recommendations provided under this Purchase Order shall be accurate, complete, and in full compliance with the environmental regulations of Mexico and the specific ordinances of Mexico City. Any non-compliance discovered within twelve (12) months of delivery shall be corrected at no additional cost to the Purchasing Party.
- 4.7 – Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary information, trade secrets, and environmental data exchanged in connection with this Purchase Order. This obligation shall survive the termination of this agreement for a period of five (5) years.
- 4.8 – Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Service Provider shall be compensated for all services rendered and expenses incurred up to the effective date of termination.
- 4.9 – Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the commercial and civil laws of the United Mexican States. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the commercial courts located in Mexico, Mexico City.
- 4.10 – Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government actions, or public health emergencies as may be declared in Mexico.

By signing below, both parties acknowledge and accept all terms, conditions, and obligations set forth in this Purchase Order. The Purchasing Party authorizes the expenditure of funds as detailed herein for the engagement of the Environmental Engineer services described. The Service Provider confirms its capacity and willingness to perform all services in full compliance with the environmental, labor, and commercial laws of Mexico, with all work to be carried out in Mexico, Mexico City.
