This Purchase Order is issued by GreenScape Environmental Consulting (Pty) Ltd (hereinafter referred to as the "Purchaser") to TerraNova Environmental Solutions (Pty) Ltd (hereinafter referred to as the "Service Provider") for the professional services of a qualified Environmental Engineer to be deployed at the Purchaser's industrial operations facility located at 27 Industrial Avenue, Kempton Park, South Africa Johannesburg, 1619.
The Environmental Engineer shall be responsible for the following scope of work:

All services under this Purchase Order shall be performed at the Purchaser's premises situated in South Africa Johannesburg, specifically at 27 Industrial Avenue, Kempton Park, 1619, Gauteng Province. The Environmental Engineer and any supporting personnel shall comply with all site safety protocols, including but not limited to the Occupational Health and Safety Act 85 of 1993, and shall present valid identification and site induction clearance prior to commencing work on-site.
- Payment shall be made within thirty (30) days of receipt of a valid tax invoice from the Service Provider, in accordance with the milestone schedule agreed upon in the attached Statement of Work.
- For the monthly environmental monitoring services (Item 3), payment shall be due within fifteen (15) days of the end of each calendar month, subject to satisfactory submission of the monthly compliance report.
- All payments shall be made via electronic funds transfer (EFT) to the Service Provider's designated bank account in South Africa Johannesburg. Bank details are as follows: FNB, Account No: 62345678901, Branch Code: 250655.
- The Service Provider shall submit a valid VAT invoice in accordance with the requirements of the South African Revenue Service (SARS) for each payment cycle.
- A retention of ten percent (10%) shall be withheld from each milestone payment and released upon final acceptance and sign-off of all deliverables by the Purchaser's project manager.
- This Purchase Order is governed by the laws of the Republic of South Africa. Any disputes arising herefrom shall be subject to the jurisdiction of the High Court of South Africa, Johannesburg Division.
- The Environmental Engineer engaged under this Purchase Order must hold a valid professional registration with the South African Institution of Civil Engineering (SAICE) or the South African Institution of Chemical Engineers (SAIChE) and must be in good standing with the relevant professional body.
- The Service Provider warrants that all deliverables shall comply with the National Environmental Management Act (NEMA), the Water Use Licence Act, the Air Quality Act 39 of 2004, and all applicable municipal by-laws of the City of Johannesburg Metropolitan Municipality.
- The Service Provider shall maintain professional indemnity insurance of no less than R 5,000,000.00 for the duration of this Purchase Order and shall provide a certificate of insurance upon request.
- Confidentiality: All data, reports, and information obtained by the Environmental Engineer in the course of performing services under this Purchase Order shall be treated as strictly confidential and shall not be disclosed to any third party without prior written consent from the Purchaser.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Purchaser shall be liable for all services rendered and expenses incurred up to the date of termination.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to circumstances beyond reasonable control, including but not limited to acts of God, government intervention, or civil unrest in South Africa Johannesburg.
- The Service Provider shall comply with all applicable provisions of the Basic Conditions of Employment Act 75 of 1997 and the Labour Relations Act 66 of 1995 with respect to any personnel deployed under this Purchase Order.
By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the Environmental Engineer for the specified services in South Africa Johannesburg.
