This Purchase Order authorizes the engagement of qualified Environmental Engineer professionals through EcoTech Professional Services Inc. to perform specialized environmental consulting, monitoring, assessment, and regulatory compliance work within the South Korea Seoul metropolitan area. All Environmental Engineer personnel assigned under this Purchase Order must hold a valid Korean Professional Engineer (P.E.) license in the field of Environmental Engineering, issued by the Korean Society of Environmental Engineers (KSEE), and must demonstrate a minimum of five (5) years of documented experience in environmental projects conducted within South Korea Seoul or equivalent urban environments.

Each Environmental Engineer shall be responsible for preparing technical reports, conducting on-site inspections, performing laboratory sampling and analysis, ensuring full compliance with the Framework Act on Environment (Korean Environmental Law No. 10007), the Air Quality Act, the Water Environment Framework Act, and all applicable Seoul Metropolitan Government environmental ordinances. The Environmental Engineer team shall report directly to the Buyer's Chief Operations Officer and shall attend weekly coordination meetings held at the Buyer's Gwanak-gu office in South Korea Seoul.

Acceptance: This Purchase Order shall become a binding contract upon written acceptance by the Vendor. The Vendor must confirm acceptance in writing within five (5) business days of receipt of this Purchase Order.
Performance Period: All Environmental Engineer services shall commence no later than July 1, 2025, and shall be completed in accordance with the timelines specified in Section 4. Any delay beyond the Required Delivery Date shall incur a penalty of 0.5% of the total Purchase Order value per calendar day, capped at 10%.
Payment: Payment shall be made via bank transfer to the Vendor's designated account in South Korea Seoul within thirty (30) days of receipt of a valid invoice. Invoices must include the Vendor's VAT registration number and reference this Purchase Order number (GS-2025-SE-00847).
Substitution of Personnel: The Vendor shall not substitute any assigned Environmental Engineer without prior written approval from the Buyer. Any proposed replacement must possess equivalent or superior qualifications and experience in environmental engineering within the South Korea Seoul regulatory framework.
Intellectual Property: All reports, data, models, and deliverables produced by the Environmental Engineer team under this Purchase Order shall be the exclusive property of GreenSolutions Environmental Consulting Co., Ltd.
Confidentiality: The Vendor and all Environmental Engineer personnel shall maintain strict confidentiality regarding all proprietary data, client information, and project details encountered during the performance of services in South Korea Seoul.
Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all Environmental Engineer services rendered up to the termination date.
Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Korea. Any disputes shall be resolved through arbitration in Seoul, South Korea, under the rules of the Korean Commercial Arbitration Board (KCAB).
Insurance: The Vendor shall maintain professional liability insurance with a minimum coverage of 500,000,000 KRW for all Environmental Engineer personnel engaged under this Purchase Order throughout the performance period in South Korea Seoul.
Compliance: All Environmental Engineer services shall comply with the Occupational Safety and Health Act of South Korea, the Seoul Metropolitan Government's environmental permitting requirements, and all applicable local regulations in force at the time of performance.

All Environmental Engineer deliverables, including but not limited to site assessment reports, monitoring data summaries, remediation design documents, and compliance certificates, shall be submitted electronically in PDF format and in hard copy (three (3) bound copies) to the Buyer's receiving address in South Korea Seoul. Monthly progress reports shall be submitted by the 5th business day of each month. A final comprehensive report for each project line item shall be delivered within ten (10) business days of project completion.
