2. SCOPE OF WORK – ENVIRONMENTAL ENGINEER SERVICESThis Purchase Order is issued by Valencia Green Infrastructure S.L. to EcoTerra Environmental Consulting S.L. for the engagement of a qualified Environmental Engineer to provide comprehensive environmental assessment, compliance, and remediation services within the municipality and province of Spain Valencia. The Environmental Engineer shall operate in full accordance with the Spanish Environmental Protection Law (Ley 7/2021), the Valencian Regional Environmental Regulations, and all applicable European Union directives governing environmental management in the region of Spain Valencia.
The Environmental Engineer assigned under this Purchase Order shall hold a valid professional registration with the Colegio Oficial de Ingenieros Técnicos Industriales de Valencia and possess a minimum of ten (10) years of documented experience in environmental impact assessments, water quality monitoring, soil remediation, and industrial emissions control within the Spain Valencia metropolitan area.

- Delivery and Performance: All services rendered by the Environmental Engineer under this Purchase Order shall be performed at the designated sites within Spain Valencia and its surrounding province. The Environmental Engineer shall commence work no later than 1 July 2025 and complete all deliverables by 31 December 2025, unless otherwise agreed in writing.
- Payment Terms: Payment shall be made within thirty (30) calendar days from the date of receipt of a valid invoice. Invoices shall reference this Purchase Order number (PO-2025-VAL-00472). Payment shall be made via bank transfer to the account designated by EcoTerra Environmental Consulting S.L. All amounts are denominated in Euros (EUR) and subject to Spanish VAT at the standard rate of 21%.
- Professional Standards: The Environmental Engineer shall adhere to the professional code of ethics established by the Spanish Engineering Council (Consejo Superior de los Colegios de Ingenieros de España) and shall maintain all necessary professional liability insurance with a minimum coverage of 500,000 EUR for the duration of this Purchase Order.
- Regulatory Compliance: All environmental assessments, monitoring activities, and remediation plans produced under this Purchase Order shall comply with the regulations of the Generalitat Valenciana, the Spanish Ministry for Ecological Transition, and the European Environment Agency. The Environmental Engineer shall ensure that all findings and recommendations are specific to the ecological and regulatory context of Spain Valencia.
- Intellectual Property: All reports, data sets, models, and deliverables produced by the Environmental Engineer in the execution of this Purchase Order shall become the exclusive property of Valencia Green Infrastructure S.L. upon full payment. The Environmental Engineer shall not reuse, publish, or disclose any project-specific data pertaining to Spain Valencia sites without prior written consent.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all technical data, site conditions, and commercial terms disclosed during the execution of this Purchase Order. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Environmental Engineer shall be compensated for all services rendered up to the effective date of termination, plus reasonable demobilization costs.
- Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Spain. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Valencia, Spain Valencia.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government regulatory changes affecting environmental operations in Spain Valencia, or public health emergencies.
