This Purchase Order is issued by Marmara Environmental Solutions A.Ş. to formally request and authorize the procurement of professional consulting services rendered by a qualified Environmental Engineer for the execution of environmental impact assessment, waste management planning, and regulatory compliance auditing projects located in and around Turkey Istanbul. This Purchase Order constitutes a binding agreement between the parties for the scope of work, deliverables, compensation, and conditions outlined herein. The engagement of the Environmental Engineer is specifically tailored to meet the environmental regulations enforced by the Ministry of Environment, Urbanization and Climate Change of the Republic of Turkey, as well as the municipal environmental codes applicable to the Istanbul Metropolitan Municipality.

- Acceptance: This Purchase Order shall become effective upon written acceptance by the Supplier. The Supplier must confirm receipt and acceptance of this Purchase Order within five (5) business days of the date of issue. Failure to respond within this period shall be interpreted as acceptance of all terms herein.
- Qualification of Environmental Engineer: The Environmental Engineer assigned to this Purchase Order must hold a valid professional license issued by the Chamber of Environmental Engineers of Turkey (TMMOB Çevre Mühendisleri Odası) and possess a minimum of ten (10) years of documented experience in environmental consulting within Turkey Istanbul and the Marmara region. The Environmental Engineer must also hold a valid ISO 14001 Lead Auditor certification.
- Project Location: All fieldwork, site inspections, monitoring activities, and on-site consultations under this Purchase Order shall be conducted within the administrative boundaries of Turkey Istanbul, including but not limited to the European and Asian sides of the city, the Bosphorus strait corridor, and the surrounding industrial zones of Gebze, Tuzla, and Pendik.
- Delivery Schedule: The Environmental Engineer shall submit a detailed project timeline within ten (10) business days of Purchase Order acceptance. All deliverables must be completed no later than 31 December 2025, unless otherwise agreed in writing by both parties.
- Payment Terms: Payment shall be made in three (3) equal installments: 30% upon Purchase Order acceptance, 40% upon submission of interim reports, and 30% upon final delivery and acceptance of all deliverables. Payments shall be processed via bank transfer to the account specified by the Supplier. All amounts are denominated in Turkish Lira (TRY) and are subject to applicable Turkish tax regulations.
- Regulatory Compliance: The Environmental Engineer shall ensure that all work performed under this Purchase Order complies with the Environmental Impact Assessment Law No. 2872, the Waste Management Regulation, the Air Quality Control Regulation, and all relevant directives issued by the Istanbul Metropolitan Municipality and the Ministry of Environment, Urbanization and Climate Change.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all data, reports, and proprietary information exchanged in connection with this Purchase Order. The Environmental Engineer shall not disclose client-specific environmental data to any third party without prior written consent.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Supplier shall be compensated for all work completed and documented up to the date of termination.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Turkey. Any disputes arising from this Purchase Order shall be resolved by the competent courts in Istanbul, Turkey.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions, or public health emergencies affecting Turkey Istanbul.
