This Purchase Order is issued by Geoservicios Ambientales del Caribe, C.A. to formally engage the services of a qualified Environmental Engineer for the execution of environmental impact assessments, regulatory compliance audits, and sustainability consulting projects within the metropolitan area of Venezuela Caracas and its surrounding municipalities. The Environmental Engineer shall provide specialized technical expertise in environmental management, pollution control, waste treatment systems, and ecological restoration in accordance with the environmental legislation of the Bolivarian Republic of Venezuela, including the Organic Law of the Environment (Ley Orgánica del Ambiente) and the regulations issued by the Instituto Nacional de Parques (INPARQUES) and the Ministerio del Poder Popular para Ecosocialismo y Aguas.

The scope of this Purchase Order encompasses the full professional engagement of the Environmental Engineer for a period of twelve (12) months, commencing on July 1, 2025, and concluding on June 30, 2026, with the possibility of renewal subject to mutual written agreement. All services shall be rendered primarily at the project sites located in Venezuela Caracas, including but not limited to the municipalities of Chacao, Baruta, El Hatillo, Sucre, and Libertador, as well as fieldwork locations in the surrounding metropolitan region.

All amounts are expressed in United States Dollars (USD) as per the commercial agreement. Payment shall be made via wire transfer to the bank account designated by the Environmental Engineer. Applicable Venezuelan tax obligations (IVA, ISLR) shall be handled in accordance with the tax regulations of the Servicio Nacional Integrado de Administración Aduanera y Tributaria (SENIAT).

  1. Payment Terms: Payment for this Purchase Order shall be made in monthly installments within fifteen (15) business days following the receipt of a valid invoice from the Environmental Engineer. The first payment shall be due no later than July 20, 2025. Late payments shall accrue interest at the rate established by the Central Bank of Venezuela (BCV) for commercial operations.
  2. Performance Standards: The Environmental Engineer shall perform all duties in strict compliance with Venezuelan environmental legislation, international best practices, and the technical specifications outlined in Annex A of this Purchase Order. All deliverables must be submitted in both Spanish and English.
  3. Location of Work: The primary location for all services under this Purchase Order is Venezuela Caracas. The Environmental Engineer shall be available for on-site visits to project locations within the Caracas metropolitan area at least three (3) days per week, with remote work permitted for the remaining days as agreed upon by both parties.
  4. Confidentiality: The Environmental Engineer agrees to maintain strict confidentiality regarding all proprietary information, client data, and environmental findings obtained during the execution of this Purchase Order. This obligation shall survive the termination of this agreement for a period of five (5) years.
  5. Insurance and Liability: The Environmental Engineer shall maintain professional liability insurance with a minimum coverage of USD 250,000, valid throughout the term of this Purchase Order. The Environmental Engineer shall be solely responsible for any damages arising from professional negligence in the performance of services in Venezuela Caracas.
  6. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Upon termination, all completed work shall be compensated at the rates specified herein.
  7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Bolivarian Republic of Venezuela. Any disputes arising from this Purchase Order shall be resolved through arbitration in Venezuela Caracas under the rules of the Centro de Arbitraje y Mediación de la Cámara de Comercio de Caracas.
  8. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government actions, or public health emergencies affecting Venezuela Caracas.

The Environmental Engineer shall submit the following deliverables as part of this Purchase Order: (a) a comprehensive Environmental Impact Assessment report for each designated project in Venezuela Caracas; (b) quarterly compliance audit reports with corrective action recommendations; (c) a final waste management system design document with operational manuals; (d) monthly progress reports detailing activities, findings, and next steps; and (e) a final project closure report upon completion of the twelve-month engagement period. All reports shall be submitted in digital format (PDF) and in two (2) hard copies to the office of Geoservicios Ambientales del Caribe, C.A. in Venezuela Caracas.
