This Purchase Order is issued to procure the professional services of a qualified Environmental Engineer to be deployed and stationed in Vietnam Ho Chi Minh City for the duration of the project. The Environmental Engineer shall be responsible for the following duties and deliverables:

The Environmental Engineer assigned under this Purchase Order must meet the following minimum qualifications:
- Minimum 8 years of professional experience in environmental engineering, with at least 3 years of experience working on projects in Vietnam Ho Chi Minh City or other major Vietnamese metropolitan areas.
- Master's degree or higher in Environmental Engineering, Civil Engineering, or a related discipline from an accredited university.
- Valid professional license as an Environmental Engineer recognized by the Ministry of Natural Resources and Environment of Vietnam.
- Demonstrated knowledge of Vietnamese environmental legislation, including the Law on Environmental Protection 2020, Decree 08/2022/NĐ-CP, and all applicable QCVN standards specific to Vietnam Ho Chi Minh City.
- Proficiency in both English and Vietnamese to facilitate communication with local government authorities in Vietnam Ho Chi Minh City.
- Proven track record in industrial wastewater treatment, air emission control, and solid waste management systems.
- Acceptance: This Purchase Order shall become binding upon written acceptance by the Supplier within five (5) business days of the date of issue. Failure to respond within this period shall constitute a rejection of this Purchase Order.
- Service Delivery: The Environmental Engineer shall report to the Buyer's premises in Vietnam Ho Chi Minh City no later than 08:00 AM on the first business day of each month. All on-site work shall be conducted in compliance with local labor laws of Vietnam.
- Payment Schedule: Payment shall be made in quarterly installments of 25% each, due within thirty (30) calendar days of the Buyer's receipt of a valid invoice. The first payment shall be due upon successful completion of the first quarter of services.
- Performance Bond: The Supplier shall provide a performance bond equivalent to 10% of the total Purchase Order value, issued by a bank licensed to operate in Vietnam Ho Chi Minh City, valid for the entire contract duration plus thirty (30) days.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination for convenience, the Buyer shall compensate the Supplier for all services rendered up to the termination date.
- Confidentiality: The Environmental Engineer and the Supplier agree to maintain strict confidentiality regarding all proprietary information, trade secrets, and operational data of the Buyer encountered during the course of services in Vietnam Ho Chi Minh City.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through arbitration in accordance with the rules of the Vietnam International Arbitration Centre (VIAC) located in Vietnam Ho Chi Minh City. The language of arbitration shall be English.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Socialist Republic of Vietnam, including all applicable regulations of Vietnam Ho Chi Minh City.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government actions, or public health emergencies affecting Vietnam Ho Chi Minh City.
This Purchase Order has been reviewed and authorized by the undersigned representatives of both parties. By signing below, both parties acknowledge and agree to all terms, conditions, and service specifications outlined in this Purchase Order for the engagement of the Environmental Engineer in Vietnam Ho Chi Minh City.
