The entire principal photography, pre-production planning, and post-production oversight shall take place in Brazil Rio de Janeiro, utilizing the city's iconic coastal landscapes, historic neighborhoods, and local talent pool. The Film Director shall be responsible for the complete artistic and creative vision of the project, including but not limited to script interpretation, casting direction, shot composition, actor performance guidance, and coordination with the cinematography, sound, and art departments across all filming locations within the municipality of Rio de Janeiro.

Payment for this Purchase Order shall be made in three (3) installments via bank transfer (TED/PIX) to the account specified in Section 1:

Installment 1 (30%): R$ 313,790.40 – Due upon signature and acceptance of this Purchase Order, no later than 21 June 2025.
Installment 2 (40%): R$ 418,387.20 – Due upon completion of principal photography in Brazil Rio de Janeiro, expected by 15 September 2025.
Installment 3 (30%): R$ 313,790.40 – Due upon delivery of the final locked cut and completion of post-production supervision, expected by 30 November 2025.

Late payments shall accrue interest at the rate of 1% per month plus the CDI rate, in accordance with Brazilian commercial law (Código Civil, Art. 406).

This Purchase Order constitutes a binding agreement between Estúdio Cinematográfico Carioca Ltda. and Visão Direta Filmes for the provision of Film Director services exclusively for the production of "Maré Alta" in Brazil Rio de Janeiro.
The Film Director shall maintain full professional availability during all scheduled shooting days and shall not undertake concurrent directing engagements within the state of Rio de Janeiro during the production period without prior written consent.
All creative decisions, including but not limited to shot selection, pacing, performance direction, and final cut approval, shall rest with the Film Director, subject to the producer's final commercial approval.
The Film Director shall comply with all local regulations of the municipality of Rio de Janeiro, including noise ordinances, public space permits, and environmental protections for filming in natural areas such as Tijuca National Forest and the Guanabara Bay coastline.
Intellectual property rights in the final film shall vest in Estúdio Cinematográfico Carioca Ltda. The Film Director retains moral rights under Brazilian copyright law (Lei 9.610/1998) and shall be credited as "Directed by" in all promotional materials.
Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination, the Film Director shall be compensated for all services rendered up to the termination date, plus a 15% cancellation fee on the remaining balance.
All disputes arising from this Purchase Order shall be resolved by arbitration in the city of Rio de Janeiro, RJ, Brazil, in accordance with the rules of the CAM-CCBC (Câmara de Arbitragem do Centro de Conciliação e Arbitragem do Brasil).
The Film Director shall carry professional liability insurance with a minimum coverage of R$ 5,000,000.00 for the duration of the engagement in Brazil Rio de Janeiro.
