This Purchase Order is issued by Aurora Filmes Produções Ltda. to formally engage the services of Film Director Marina Costa for the principal photography, pre-production planning, and post-production oversight of the feature-length narrative film "Horizontes de São Paulo." The entire production cycle, including all on-location shoots, rehearsals, and creative meetings, shall take place within the metropolitan region of Brazil São Paulo, with primary studio operations based at the Aurora Filmes facility on Av. Paulista.
The Film Director shall be responsible for the complete artistic and creative vision of the production, including but not limited to: script interpretation and scene blocking; casting direction and actor coaching; coordination with the cinematography, production design, and sound departments; daily shot-list planning; and final creative approval of all editorial decisions during post-production. The Film Director is expected to be physically present on set for a minimum of 42 shooting days across the Brazil São Paulo metropolitan area, including locations in the neighborhoods of Pinheiros, Moema, Ibirapuera Park, and the historic center of São Paulo.

All payments under this Purchase Order shall be made in Brazilian Reais (BRL) via bank transfer to the account designated by the Film Director. The payment schedule is as follows:
- 30% advance payment (R$ 107,670.00) due upon execution of this Purchase Order, no later than June 20, 2025.
- 40% milestone payment (R$ 143,560.00) due upon completion of principal photography, expected by September 30, 2025.
- 30% final payment (R$ 107,670.00) due upon delivery of the final locked cut and completion of all post-production obligations, expected by December 15, 2025.
Late payments shall incur a monthly interest rate of 1.5% in accordance with Brazilian commercial law (Código Civil, Art. 406). All invoices must reference this Purchase Order number (PO-2025-BRSP-0472) for proper accounting reconciliation.
5.1. This Purchase Order constitutes a binding agreement between the parties upon signature. All services shall be rendered in full compliance with Brazilian labor regulations, including CLT provisions where applicable, and the specific collective bargaining agreements of the audiovisual sector in the state of São Paulo.
5.2. The Film Director warrants that all creative work delivered under this engagement shall be original and free of intellectual property infringement. The Film Director shall assign all rights to the final film to Aurora Filmes Produções Ltda. upon full payment, retaining only moral rights as protected under Brazilian copyright law (Lei 9.610/1998).
5.3. The Film Director shall maintain professional liability insurance with a minimum coverage of R$ 5,000,000.00 for the duration of the engagement in Brazil São Paulo.
5.4. Either party may terminate this Purchase Order with 30 days written notice. In the event of termination by the Buyer without cause, the Film Director shall be compensated for all work completed to date plus 15% of the remaining contract value.
5.5. All disputes arising from this Purchase Order shall be resolved through arbitration in the city of São Paulo, Brazil, in accordance with the rules of the CAM-ARB (Câmara de Arbitragem do Mercado), with proceedings conducted in Portuguese.
Important Note: This Purchase Order is governed by the laws of the Federative Republic of Brazil. The primary jurisdiction for all production activities referenced herein is the city of São Paulo, State of São Paulo, Brazil. All location permits, municipal filming authorizations, and ANVISA health compliance requirements for the Brazil São Paulo production area shall be obtained and maintained by the Buyer prior to the commencement of any on-location shooting.By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the Film Director for the Brazil São Paulo production.
