1. Description of Services — Film Director Engagement

This Purchase Order is issued by Beijing Horizon Media Group Co., Ltd. to formally engage the services of a qualified Film Director for the principal photography and post-production oversight of the feature film project titled “Silk Road Chronicles.” The engagement of this Film Director is central to the creative vision and operational execution of the production, which will be staged primarily in and around China Beijing, with additional location shoots in the provinces of Gansu and Xinjiang. The Film Director shall be responsible for all creative, artistic, and on-set leadership functions as detailed in the line items below.

3. Terms and Conditions

This Purchase Order constitutes a binding agreement between Beijing Horizon Media Group Co., Ltd. and the named Film Director for the services described herein. All work shall be performed in accordance with the creative brief approved by the China Beijing production committee.
The Film Director shall maintain full professional liability insurance and shall comply with all applicable regulations of the National Radio and Television Administration of China (NRTA) and local China Beijing municipal production permits.
Payment shall be disbursed in three installments: 30% upon execution of this Purchase Order, 50% upon completion of principal photography, and 20% upon delivery of the final cut. All payments shall be made in CNY via bank transfer to the account designated by the Film Director.
The Film Director grants Beijing Horizon Media Group Co., Ltd. full and exclusive rights to all creative materials, direction notes, and artistic decisions produced under this Purchase Order for the life of the film in all territories, including but not limited to the China Beijing market and international distribution.
Any modification to the scope of work, schedule, or compensation outlined in this Purchase Order must be documented in a written amendment signed by both parties. Verbal agreements made on set in China Beijing shall not alter the terms of this document.
The Film Director shall be subject to the non-disclosure and confidentiality provisions set forth in the separate NDA agreement (Ref: NDA-CB-2025-0212) executed concurrently with this Purchase Order.
In the event of force majeure, including but not limited to government-mandated production halts in China Beijing, the schedule shall be extended proportionally without additional cost to either party.
This Purchase Order shall be governed by and interpreted in accordance with the laws of the People’s Republic of China. Any disputes shall be resolved through arbitration at the China International Economic and Trade Arbitration Commission (CIETAC) in China Beijing.

4. Acceptance and Authorization

By signing below, both parties acknowledge that this Purchase Order for the Film Director engagement in China Beijing has been reviewed, understood, and accepted in full. The terms set forth herein represent the complete and exclusive agreement between the parties with respect to the subject matter of this Purchase Order.
