This Purchase Order is issued by Guangzhou Horizon Media Productions Co., Ltd. (hereinafter referred to as the "Buyer") to formally engage the services of Ms. Chen Yifan, a distinguished Film Director (hereinafter referred to as the "Seller"), for the purpose of directing, overseeing, and delivering the complete creative vision of the feature-length production titled "Whispers of the Pearl River". All services rendered under this Purchase Order shall be executed within the jurisdiction of China Guangzhou, with primary filming locations situated across the Tianhe, Yuexiu, and Haizhu districts of Guangzhou City, Guangdong Province, People's Republic of China.
The Film Director engaged under this Purchase Order shall be responsible for the full creative and technical direction of the production, including but not limited to pre-production planning, on-set direction, actor coaching, shot composition, collaboration with the cinematography team, and post-production supervision. The Film Director shall report directly to the Buyer's Head of Production and shall adhere to all scheduling, budgetary, and quality parameters established within this Purchase Order.

All payments under this Purchase Order shall be made in Chinese Yuan (CNY) via bank transfer to the Seller's designated account. The payment schedule is structured as follows:
- 30% Advance Payment (CNY 290,334.00): Due within 7 business days of mutual execution of this Purchase Order, prior to the commencement of pre-production activities.
- 40% Progress Payment (CNY 387,112.00): Due upon completion of principal photography, subject to written acceptance by the Buyer's Head of Production.
- 30% Final Payment (CNY 290,334.00): Due within 14 business days of the final delivery of the completed film and the Seller's written certification of completion.
Any late payments shall incur a penalty of 0.05% per calendar day on the outstanding balance, in accordance with the commercial practices standard in China Guangzhou.
- Scope of Work: The Film Director shall perform all duties in strict accordance with the creative brief and production schedule attached as Appendix A to this Purchase Order. Any material deviation from the agreed scope requires prior written approval from the Buyer.
- Location and Jurisdiction: All services shall be rendered primarily in China Guangzhou. The Film Director acknowledges that this Purchase Order is governed by the laws of the People's Republic of China, and any disputes shall be resolved through arbitration at the China International Economic and Trade Arbitration Commission (CIETAC), Guangzhou Sub-Commission.
- Intellectual Property: Upon full and final payment under this Purchase Order, all rights, title, and interest in the completed film, including all creative direction, shot compositions, and editorial decisions made by the Film Director, shall vest exclusively in the Buyer. The Film Director retains the right to display the work in personal portfolios and at film festivals in China Guangzhou and internationally, subject to the Buyer's prior written consent for commercial exploitation.
- Confidentiality: The Film Director shall maintain strict confidentiality regarding all production materials, scripts, storyboards, and business information disclosed under this Purchase Order. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Insurance and Liability: The Film Director shall maintain professional liability insurance with a minimum coverage of CNY 2,000,000 for the duration of the engagement. The Seller shall be liable for any damages arising from negligence or willful misconduct during the performance of services under this Purchase Order.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-mandated shutdowns in China Guangzhou, or public health emergencies, provided that the affected party notifies the other in writing within 48 hours.
- Termination: Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the date of termination, and the Film Director shall deliver all work-in-progress materials to the Buyer.
- Compliance: The Film Director warrants that all services performed under this Purchase Order shall comply with all applicable film production regulations, labor laws, and content review requirements of the National Radio and Television Administration of China and the local film bureau in China Guangzhou.
By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order. This document constitutes a binding agreement for the engagement of the Film Director for the production described herein, to be executed and performed in China Guangzhou.
