This Purchase Order is issued by Shanghai Meridian Pictures Co., Ltd. (hereinafter referred to as the "Purchaser") to formally engage the services of Film Director Chen Wei-Long (hereinafter referred to as the "Director") for the pre-production, production, and post-production oversight of the feature film project titled "Shanghai Horizon: A Story of Two Rivers" (working title). All services shall be rendered within the administrative boundaries of China Shanghai, with primary filming locations situated in the Huangpu District, Pudong New Area, and the historic French Concession area of Xuhui District.

- Governing Law and Jurisdiction: This Purchase Order and all services rendered hereunder shall be governed by the laws of the People's Republic of China. Any disputes arising from or in connection with this Purchase Order shall be submitted to the Shanghai International Arbitration Center (SHIAC) for arbitration in accordance with its rules. The seat of arbitration shall be Shanghai, China.
- Payment Schedule: The Purchaser shall remit payment in four (4) installments: 25% upon execution of this Purchase Order, 35% upon completion of pre-production and commencement of principal photography, 30% upon delivery of the director's final cut, and 10% upon completion of all publicity obligations. All payments shall be made via bank transfer to the ICBC account specified above within fifteen (15) business days of invoice submission.
- Work Location and Permits: The Film Director acknowledges that all production activities shall take place within China Shanghai. The Purchaser is responsible for obtaining all necessary filming permits from the Shanghai Municipal Film Bureau, the Pudong New Area Culture and Tourism Bureau, and any other relevant local authorities. The Film Director shall comply with all local regulations, including but not limited to the Film Law of the People's Republic of China and the Shanghai Municipal Regulations on Cultural Market Management.
- Intellectual Property: All creative works, including but not limited to storyboards, shot lists, director's notes, and the final film, produced in the course of fulfilling this Purchase Order shall be the exclusive property of Shanghai Meridian Pictures Co., Ltd. The Film Director retains moral rights as author in accordance with the Copyright Law of the PRC.
- Confidentiality: The Film Director agrees to maintain strict confidentiality regarding all production materials, scripts, casting decisions, and financial terms disclosed under this Purchase Order. This obligation shall survive for a period of five (5) years following the completion of the project.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order if such failure results from events beyond reasonable control, including but not limited to natural disasters, government-mandated production halts in China Shanghai, or public health emergencies as declared by the Shanghai Municipal Government.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination by the Purchaser without cause, the Film Director shall be compensated for all services rendered up to the termination date plus a 10% completion bonus on the remaining contract value.
- Compliance with Local Regulations: The Film Director warrants that he holds a valid Director's Practice License issued by the China Federation of Literary and Art Circles and that his engagement complies with all applicable labor and professional service regulations in China Shanghai.
By signing below, both parties acknowledge that this Purchase Order constitutes a binding agreement for the procurement of Film Director services in China Shanghai. This document is executed in two (2) original copies, one retained by each party, and shall be deemed effective upon the date of the last signature.
