This Purchase Order is issued by Addis Ababa Film Production House PLC (hereinafter referred to as the "Buyer") to engage the services of a professional Film Director (hereinafter referred to as the "Film Director" or "Seller") for the full creative and technical direction of the feature-length documentary film titled "Voices of the High Plateau". This Purchase Order governs all terms, conditions, deliverables, and payment obligations related to the engagement of the Film Director within the jurisdiction of Ethiopia Addis Ababa. All work shall be performed in accordance with the Ethiopian Film and Television Producers Association guidelines and the relevant provisions of the Ethiopian Civil Code.

The Film Director shall be responsible for the complete artistic and technical direction of the production. The scope of services includes, but is not limited to, the following:

• Pre-production planning, script development, and storyboard creation for the documentary film.
• Casting coordination and talent selection for all principal and supporting roles, to be conducted within Ethiopia Addis Ababa and surrounding regions.
• On-set direction of all principal photography, including but not limited to 45 shooting days scheduled across locations in Addis Ababa, Bahir Dar, and the Simien Mountains region.
• Post-production oversight, including editing direction, color grading supervision, and final sound design approval.
• Attendance at all production meetings, dailies reviews, and creative briefings held at the Buyer’s studio facility in Bole, Addis Ababa.
• Delivery of a final cut suitable for theatrical release, festival submission, and broadcast distribution within Ethiopia and internationally.

Payment shall be made in Ethiopian Birr (ETB) via bank transfer to the Film Director’s designated account at Commercial Bank of Ethiopia, Addis Ababa branch. The payment schedule is as follows:

• 30% advance payment (ETB 344,850.00) upon execution of this Purchase Order and receipt of a signed acceptance by the Film Director.
• 40% milestone payment (ETB 459,800.00) upon completion of principal photography and delivery of all raw footage.
• 30% final payment (ETB 344,850.00) upon delivery of the final cut and written acceptance by the Buyer’s creative committee in Addis Ababa.

All payments are subject to a 14-day net payment period from the date of invoice submission. Late payments shall accrue interest at the rate prescribed by the National Bank of Ethiopia.

1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Democratic Republic of Ethiopia, with primary jurisdiction in the courts of Addis Ababa.
2. Intellectual Property: All creative works, scripts, storyboards, and final film deliverables produced under this Purchase Order shall remain the exclusive property of Addis Ababa Film Production House PLC. The Film Director retains moral rights and credit attribution as director.
3. Confidentiality: The Film Director agrees to maintain strict confidentiality regarding all production materials, scripts, and business information disclosed during the engagement in Ethiopia Addis Ababa.
4. Termination: Either party may terminate this Purchase Order with 30 days’ written notice. In the event of termination, the Buyer shall compensate the Film Director for all services rendered up to the termination date.
5. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions, or public health emergencies affecting operations in Ethiopia Addis Ababa.
6. Compliance: The Film Director warrants that all services shall comply with Ethiopian labor laws, the Ethiopian Film and Television Producers Association code of conduct, and all applicable local regulations in Addis Ababa.

This Purchase Order becomes effective upon signature by both parties. The Film Director’s acceptance of this Purchase Order constitutes full agreement to all terms, conditions, and deliverables outlined herein. No modification to this Purchase Order shall be valid unless made in writing and signed by both the Buyer and the Film Director.

Note: This Purchase Order is issued in the city of Addis Ababa, Ethiopia. All communications, meetings, and dispute resolution related to this Purchase Order and the Film Director engagement shall take place in Ethiopia Addis Ababa unless otherwise agreed in writing. This document is valid for a period of 30 calendar days from the date of issue.
