This Purchase Order is issued by Lumière Productions SARL to formally engage the services of Film Director Mme. Claire Fontaine for the principal creative direction of the feature production titled "Les Rues de Minuit" (Working Title). All creative, technical, and supervisory duties associated with the role of Film Director shall be executed on location in France Paris, with primary shooting stages situated at the Studios de la Défense (Pantin, 93500) and on-location shoots across the 1st, 4th, 5th, and 11th arrondissements of France Paris. The Film Director shall be responsible for the complete artistic vision, actor direction, camera composition, scene blocking, and final creative approval of all footage captured during the production period.

- Payment shall be made in three (3) instalments via bank transfer to the account of the Film Director as registered in France Paris: 40% upon execution of this Purchase Order, 40% upon completion of principal photography, and 20% upon final delivery of the approved cut.
- All payments are subject to the terms of French commercial law (Code de commerce) and shall be processed through the banking system of France Paris. The IBAN and BIC details are on file with Lumière Productions SARL's accounts department.
- Late payments shall incur interest at the rate prescribed by Article L441-10 of the French Commercial Code, calculated from the due date.
- Any additional days beyond the contingency period (Ref. 06) shall be invoiced separately at the agreed daily rate and require written amendment to this Purchase Order.
- This Purchase Order constitutes a binding agreement between Lumière Productions SARL and the Film Director for the duration of the production. All creative decisions made by the Film Director on set in France Paris shall be final unless otherwise agreed in writing with the Head of Production.
- The Film Director shall comply with all applicable French labour regulations, health and safety standards (Code du travail), and local filming permits required by the Mairie de Paris and the Préfecture de Police for any on-location shoots within France Paris.
- The Film Director grants Lumière Productions SARL full intellectual property rights over all creative materials, shot compositions, and directorial notes produced in the course of this engagement. The Film Director shall be credited as "Directed by Claire Fontaine" in all promotional materials and the final film.
- Confidentiality: All production details, scripts, and creative materials shared with the Film Director are classified as confidential under French law (Code civil, Articles 1101–1104). Breach of confidentiality shall result in immediate termination of this Purchase Order and financial penalties.
- Force Majeure: In the event of circumstances beyond reasonable control (including but not limited to severe weather affecting France Paris, civil unrest, or governmental restrictions on filming), either party may suspend obligations under this Purchase Order without penalty, provided written notice is given within 48 hours.
- Dispute Resolution: Any dispute arising from this Purchase Order shall be resolved by the competent commercial courts of France Paris (Tribunal de Commerce de Paris). Both parties agree to attempt mediation before initiating legal proceedings.
- This Purchase Order is governed by the laws of the French Republic. All notices shall be sent to the addresses listed in Sections 1 and 2 above.
