This Purchase Order is issued by Berlin Film & Media GmbH to formally engage a qualified Film Director for the principal production of the feature-length documentary "Streets of the Capital: A Berlin Story", scheduled for principal photography in the metropolitan area of Germany Berlin between 1 August 2025 and 30 November 2025. The Film Director shall be responsible for the complete creative and artistic oversight of the production, including but not limited to pre-production planning, on-set direction, scene composition, actor and interviewee guidance, and final editorial vision. All services rendered under this Purchase Order shall be performed exclusively within the jurisdiction of Germany Berlin, in compliance with the German Federal Film Act (Filmförderungsgesetz) and all applicable local regulations of the state of Berlin.

Payment for this Purchase Order shall be made in three installments via bank transfer to the account of Director Creative Services UG, Germany Berlin:
- First installment (40%): EUR 70,376.60 — due upon execution of this Purchase Order and confirmation of the Film Director’s availability for the Germany Berlin production schedule.
- Second installment (35%): EUR 61,579.53 — due upon completion of principal photography, no later than 30 November 2025.
- Third installment (25%): EUR 43,985.37 — due upon final delivery and written acceptance of the completed master by Berlin Film & Media GmbH, Germany Berlin.
All payments are subject to the standard 30-day net payment terms as stipulated under German commercial law (HGB). Late payments shall accrue interest at the statutory rate pursuant to Section 288 of the German Civil Code (BGB).
5.1 Scope of Work. The Film Director engaged under this Purchase Order shall exercise full creative authority over the documentary production in Germany Berlin, subject to the final approval rights retained by Berlin Film & Media GmbH as the producing entity. The Film Director shall adhere to the production schedule, budget constraints, and creative brief outlined in the attached Statement of Work (Annex A).
5.2 Intellectual Property. All creative works, including but not limited to shot compositions, editorial sequences, and directorial notes produced by the Film Director in the course of this engagement in Germany Berlin, shall be the exclusive property of Berlin Film & Media GmbH upon full payment of this Purchase Order. The Film Director retains the right to display the work in a professional portfolio and to receive a directorial credit in all promotional materials.
5.3 Compliance and Insurance. The Film Director shall comply with all applicable German and Berlin municipal regulations governing film production, including permits issued by the Senate Department for Culture and Europe of the State of Berlin. The Film Director shall maintain professional liability insurance with a minimum coverage of EUR 2,000,000 for the duration of the engagement in Germany Berlin.
5.4 Termination. Either party may terminate this Purchase Order with 30 days’ written notice. In the event of termination, the Film Director shall be compensated for all services rendered up to the date of termination, and all pre-production materials shall be returned to Berlin Film & Media GmbH, Germany Berlin.
5.5 Governing Law. This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Germany. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Berlin, Germany.
5.6 Confidentiality. Both parties agree to maintain strict confidentiality regarding all production details, creative concepts, and financial terms contained in this Purchase Order. This obligation shall survive the termination of the engagement for a period of five (5) years.
By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the Film Director in Germany Berlin. This Purchase Order constitutes a binding commercial agreement between the parties and supersedes all prior negotiations, correspondence, and understandings relating to the subject matter herein.
