This Purchase Order is issued by Golden Horizon Productions Ltd. to formally engage the above-named Film Director for the principal photography and post-production oversight of the feature film "Savanna Dreams", to be shot predominantly in and around Ghana Accra, with select exterior locations in the Greater Accra Region. The Film Director shall be responsible for all creative, artistic, and interpretive decisions throughout the production lifecycle.

All payments under this Purchase Order shall be made in Ghana Cedis (GHS) via bank transfer to the vendor's designated account at Ecobank Ghana, Osu Branch, Accra. The payment schedule is as follows:

• 30% Advance (GHS 174,935.70): Due within seven (7) business days of mutual signature of this Purchase Order, prior to the commencement of pre-production activities.
• 40% Mid-Production (GHS 233,247.60): Payable upon completion of principal photography in Ghana Accra, subject to the Film Director's delivery of a signed completion certificate.
• 30% Final Settlement (GHS 174,935.70): Payable within fourteen (14) business days following the Film Director's final approval of the locked cut and delivery of all post-production deliverables.

Late payments shall attract interest at the rate of 2% per month, in accordance with the Ghanaian Payment Terms and Conditions Act, 2019 (Act 992).

1. This Purchase Order constitutes a binding agreement between Golden Horizon Productions Ltd. and Kwame Asante Creative Direction Ltd. upon countersignature by both parties.
2. The Film Director shall comply with all regulations set forth by the Ghana Film Commission and the National Film and Video Censors Board of Ghana. All shooting permits for locations within Ghana Accra shall be secured by the production company at its own cost.
3. The Film Director retains full creative authority over artistic interpretation, camera movement, actor direction, and visual storytelling. However, the Film Director shall operate within the approved production budget and schedule as outlined in this Purchase Order.
4. All intellectual property rights in the finished film, including the directorial vision as embodied in the final cut, shall vest in Golden Horizon Productions Ltd. The Film Director shall be credited as "Directed by Kwame Asante" in all promotional materials, festival submissions, and theatrical releases.
5. The Film Director shall maintain professional liability insurance with a minimum cover of GHS 500,000 for the duration of the engagement in Ghana Accra.
6. Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination by the production company without cause, the Film Director shall be compensated for all services rendered up to the date of termination plus a pro-rata portion of the remaining contract value.
7. All disputes arising from this Purchase Order shall be resolved through mediation in Ghana Accra in accordance with the Alternative Dispute Resolution Act, 2010 (Act 798). If mediation fails, the matter shall be referred to the courts of competent jurisdiction in Accra, Ghana.
8. This Purchase Order is governed by the laws of the Republic of Ghana.

By signing below, both parties acknowledge that they have read, understood, and agree to all terms, conditions, and line items specified in this Purchase Order for the engagement of the Film Director for the production based in Ghana Accra.

This Purchase Order (GHP-2025-0047) is the property of Golden Horizon Productions Ltd. and is intended solely for the engagement of the named Film Director for the production of "Savanna Dreams" in Ghana Accra.
