This Purchase Order is issued by Jerusalem Cinematic Productions Ltd. to formally engage the services of a qualified Film Director for the production of the feature-length documentary titled "Stone and Light: A Jerusalem Chronicle". The Film Director shall be responsible for the complete creative and technical direction of the project, including but not limited to pre-production planning, on-set direction of all principal and supporting cast, coordination with the cinematography and sound departments, post-production oversight, and final editorial approval. The Film Director is expected to possess a minimum of fifteen (15) years of professional experience in narrative and documentary filmmaking, with demonstrated familiarity with the cultural, historical, and geographic landscape of Israel Jerusalem and its surrounding regions.
The engagement of the Film Director under this Purchase Order shall be governed by the terms set forth herein and by the supplementary Service Level Agreement (SLA) attached as Appendix A. All creative decisions made by the Film Director during the production period in Israel Jerusalem shall be subject to final approval by the Executive Producer of Jerusalem Cinematic Productions Ltd.

The Film Director shall commence pre-production duties no later than 1 July 2025 and shall complete all post-production obligations by 30 November 2025. All on-set direction activities shall take place at designated filming locations within the municipality of Israel Jerusalem and its immediate environs. The Film Director is required to maintain a minimum of five (5) working days per week on location during the principal photography phase. Any deviation from this schedule must be communicated in writing to the Buyer at least seventy-two (72) hours in advance and is subject to mutual agreement.
Payment for the services outlined in this Purchase Order shall be made in three (3) installments: (a) thirty percent (30%) upon execution of this Purchase Order and confirmation of the Film Director's availability; (b) forty percent (40%) upon completion of principal photography; and (c) the remaining thirty percent (30%) upon delivery of the final cut and written acceptance by the Executive Producer. All payments shall be made via bank transfer to the account designated by the Supplier. Invoices must reference this Purchase Order number (PO-IL-JLM-2025-04782) and shall be payable within thirty (30) days of receipt. Late payments shall accrue interest at the rate of 1.5% per month as stipulated under Israeli commercial law.
- This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon signature by both authorized representatives. All services shall be rendered in accordance with the laws of the State of Israel and the specific regulations governing film production in Israel Jerusalem.
- The Film Director engaged under this Purchase Order shall maintain full professional liability insurance with a minimum coverage of ILS 5,000,000 for the duration of the engagement. Proof of insurance shall be provided prior to the commencement of any on-set activities in Israel Jerusalem.
- All intellectual property rights, including but not limited to the final film, raw footage, scripts, storyboards, and creative materials developed during the engagement, shall vest exclusively in Jerusalem Cinematic Productions Ltd. upon full payment of the amounts specified in this Purchase Order.
- The Film Director shall comply with all local filming permits, municipal regulations, and heritage site restrictions applicable to production activities in Israel Jerusalem. The Supplier shall bear full responsibility for obtaining and maintaining all necessary permits from the Jerusalem Municipality, the Israel Antiquities Authority, and any other relevant governmental bodies.
- Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination for convenience, the Buyer shall compensate the Film Director for all services rendered up to the date of termination, plus a cancellation fee of ten percent (10%) of the remaining contract value.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all production details, creative concepts, and financial terms contained in this Purchase Order. This obligation shall survive the termination of this agreement for a period of five (5) years.
- Dispute resolution: Any dispute arising from or in connection with this Purchase Order shall be resolved through binding arbitration in Jerusalem, Israel, in accordance with the rules of the Israel Arbitration Association. The language of arbitration shall be English.
- This Purchase Order is subject to the general terms and conditions of Jerusalem Cinematic Productions Ltd. as amended from time to time, which are incorporated herein by reference.
