2. Description of Services — Film Director Engagement in Italy Rome

This Purchase Order is issued by CineRoma Produzioni S.r.l. to formally engage the services of Film Director Marco Aurelio De Santis for the principal photography, creative oversight, and post-production direction of the feature-length film La Luce Eterna. All services under this Purchase Order shall be performed within the city of Rome, Italy, and its immediate metropolitan area, including but not limited to the historic centre, the Cinecittà Studios complex, and approved outdoor locations throughout the Lazio region. The Film Director shall serve as the principal creative authority on set and in the editing suite, ensuring that the artistic vision of the production is realised in full accordance with the approved screenplay, the production schedule, and the budget parameters established by the Buyer.

The engagement of the Film Director under this Purchase Order encompasses the following core responsibilities: pre-production creative planning and location scouting within Italy Rome; casting direction and actor coaching during all rehearsal periods; full on-set direction during the 42-day principal photography schedule; editorial supervision and final cut approval in the post-production phase; and participation in the Rome Film Festival premiere and associated press events. The Film Director shall be available on a full-time basis for the duration of the engagement and shall comply with all Italian labour regulations, safety protocols, and union agreements applicable to film production in Rome, Italy.

4. Payment Terms

Payment against this Purchase Order shall be made via bank transfer to the account designated by the Film Director in accordance with the following schedule: thirty percent (30%) upon execution of this Purchase Order; forty percent (40%) upon completion of principal photography in Rome, Italy; and the remaining thirty percent (30%) upon delivery of the final locked cut and completion of all post-production obligations. All invoices must reference Purchase Order number PO-ROME-2025-0487. Payment terms are net thirty (30) days from the date of invoice receipt. Late payments shall accrue interest at the rate prescribed by Italian commercial law (Codice Civile, Art. 1284).

5. Terms, Conditions & Compliance

This Purchase Order is governed by and shall be interpreted in accordance with the laws of the Italian Republic. Any disputes arising from the performance of the Film Director's obligations under this Purchase Order in Italy Rome shall be subject to the exclusive jurisdiction of the courts of Rome, Italy. The Film Director warrants that all creative materials, direction, and editorial decisions produced under this engagement shall be original and free from intellectual property infringement. The Film Director shall maintain full professional liability insurance and workers' compensation coverage as required by Italian film industry regulations. Cancellation of this Purchase Order by either party prior to the commencement of principal photography shall require thirty (30) days' written notice. Cancellation during active production in Rome, Italy shall be subject to a penalty of fifty percent (50%) of the remaining contract value.
