This Purchase Order is issued by Abidjan Cinéma Productions SARL to formally engage the services of a qualified Film Director for the principal photography and creative leadership of the feature-length documentary film titled "Lumière d'Abidjan". All services under this Purchase Order shall be performed exclusively within the city of Ivory Coast Abidjan and its surrounding metropolitan areas, including the districts of Cocody, Plateau, Yopougon, and Treichville, as well as the coastal zones of Grand-Bassam and Assinie-Mouette.
The Film Director engaged under this Purchase Order shall be responsible for the complete artistic and creative vision of the production, including but not limited to: pre-production planning, script development and adaptation, casting coordination, on-set direction of all principal and supporting actors, cinematographic composition oversight, editing supervision, and final creative approval of the finished film. The Film Director shall maintain full professional conduct in accordance with the standards set forth by the Fédération Ivoirienne de la Cinématographie (FICCI) and all applicable regulations of the Ivorian Ministry of Culture and Arts.

All amounts are stated in West African CFA Francs (XOF). Applicable Ivorian Value Added Tax (VAT) at 18% shall be added to the total as required by the Direction Générale des Impôts of Ivory Coast.
4. Payment TermsPayment under this Purchase Order shall be made in the following installments, remitted via bank transfer to the account designated by the Film Director:
- 30% advance payment (XOF 17,100,000) upon execution of this Purchase Order and receipt of a signed acknowledgment by the Film Director.
- 40% progress payment (XOF 22,800,000) upon completion of principal photography, subject to written acceptance by the Buyer's production manager.
- 30% final payment (XOF 17,100,000) upon delivery of the final cut and completion of all post-production obligations, no later than 30 days after the final delivery date.
All payments shall be processed through the Banque Atlantique, Abidjan branch, in accordance with the financial regulations of the Central Bank of West African States (BCEAO). Late payments shall incur interest at the rate of 1.5% per month as stipulated under Ivorian commercial law.
5. Terms and Conditions- This Purchase Order constitutes a binding agreement between the Buyer and the Film Director upon signature by both parties. It shall be governed by and interpreted in accordance with the laws of the Republic of Côte d'Ivoire, particularly the Ivorian Code of Obligations and the specific provisions of the Ivorian Audiovisual and Cinematographic Code.
- The Film Director warrants that all creative work delivered under this Purchase Order shall be original, free from intellectual property infringement, and shall not violate any existing contractual obligations owed to third parties. All rights to the finished film shall vest exclusively in Abidjan Cinéma Productions SARL upon full payment.
- The Film Director shall comply with all local regulations pertaining to filming permits, public assembly, and cultural heritage protection within Ivory Coast Abidjan. All necessary permits from the Direction de la Cinématographie and the Mairie d'Abidjan shall be obtained prior to the commencement of any on-location shooting.
- Either party may terminate this Purchase Order with a written notice of 30 days. In the event of termination by the Buyer without cause, the Film Director shall be compensated for all work completed up to the date of termination. In the event of termination due to the Film Director's material breach, no further payment shall be due.
- The Film Director shall maintain professional liability insurance with a minimum coverage of XOF 100,000,000 throughout the duration of the engagement. A certificate of insurance shall be provided to the Buyer prior to the start of principal photography.
- All disputes arising from this Purchase Order shall be resolved through amicable negotiation. Failing resolution within 60 days, the matter shall be submitted to the competent commercial court of Abidjan, Ivory Coast, as the exclusive jurisdiction.
- The Film Director agrees to a non-compete clause for a period of 12 months following the completion of this production, within the territory of Ivory Coast Abidjan and its immediate surrounding regions, with respect to subject matter directly related to this film.
- This Purchase Order may be amended only by a written addendum signed by both parties. No verbal modifications shall be considered valid or enforceable.
By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order for the engagement of the Film Director for the production to be carried out in Ivory Coast Abidjan.
