This Purchase Order is issued by Kyoto Cinematic Productions K.K. to formally engage the services of a Film Director and associated creative personnel for the principal photography and post-production oversight of the feature film Whispers of the Gion. All production activities under this Purchase Order shall be conducted within the metropolitan and surrounding areas of Japan Kyoto, including but not limited to the historic districts of Higashiyama, Fushimi, and Arashiyama. The Film Director shall serve as the principal creative authority on set and in the editing suite, ensuring that the artistic vision of the production is realized in full accordance with the approved screenplay and the cultural sensitivities inherent to filming in Japan Kyoto.

5.1 This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon signature by both parties. All terms herein govern the engagement of the Film Director and associated personnel for the production of Whispers of the Gion in Japan Kyoto.

5.2 The Film Director shall adhere to all local filming regulations, noise ordinances, and heritage-site preservation rules enforced by the Japan Kyoto municipal government and the Japan Kyoto Prefectural Board of Education. Any violation of these regulations shall be the sole responsibility of the Supplier and may result in immediate termination of this Purchase Order.

5.3 Payment shall be made in three installments: 40% upon execution of this Purchase Order, 40% upon completion of principal photography in Japan Kyoto, and 20% upon delivery of the final cut and all associated deliverables. All payments shall be made via bank transfer to the account specified by the Supplier.

5.4 The Film Director retains full creative authority over shot composition, pacing, and performance direction. However, the Buyer reserves the right to request up to two (2) rounds of revisions during post-production. Additional revision cycles shall be billed at the daily rate specified in Line Item 03.

5.5 All footage, scripts, storyboards, and creative materials produced under this Purchase Order shall be the exclusive intellectual property of Kyoto Cinematic Productions K.K. The Film Director and all associated personnel shall sign a comprehensive work-for-hire and non-disclosure agreement prior to commencing work in Japan Kyoto.

5.6 In the event of force majeure, including but not limited to natural disasters, government-mandated shutdowns, or public health emergencies affecting Japan Kyoto, either party may suspend obligations under this Purchase Order without penalty. Work shall resume within fourteen (14) calendar days of the cessation of the force majeure event.

5.7 Disputes arising from this Purchase Order shall be resolved through mediation in Japan Kyoto, followed by binding arbitration under the rules of the Japan Commercial Arbitration Association. The governing law shall be the laws of Japan.

All deliverables, including but not limited to the final edited film, raw footage archives, director's commentary tracks, and production documentation, shall be delivered to the Buyer's facility in Japan Kyoto no later than September 30, 2025. Acceptance shall be confirmed in writing by the Buyer within fifteen (15) business days of delivery. Failure to confirm acceptance within this period shall constitute deemed acceptance under this Purchase Order.
