Terms and Conditions

1. This Purchase Order constitutes a binding agreement between Producciones Cinematográficas del Valle, S.A. de C.V. (hereinafter "the Buyer") and Lic. Alejandro Ramírez Cortés, operating as Dirección Creativa Ramírez, S.A. de C.V. (hereinafter "the Film Director" or "the Vendor"), for the provision of creative direction and on-set direction services for the feature film "Corazón de la Ciudad."
2. All services described in this Purchase Order shall be performed primarily in Mexico Mexico City, CDMX, Mexico, at locations designated by the Buyer's production team. The Film Director acknowledges and agrees to the specific filming locations within Mexico Mexico City as outlined in the attached production schedule.
3. The Film Director shall provide all creative direction, artistic vision, and on-set leadership in accordance with the approved script, storyboard, and production bible. The Film Director retains full creative authority over directorial decisions during principal photography in Mexico Mexico City, subject to the Buyer's final approval on matters of budget and schedule.
4. Payment shall be made in Mexican Pesos (MXN) via bank transfer to the account designated by the Film Director. Invoices must be submitted within five (5) business days of the completion of each service milestone. Payment is due within thirty (30) calendar days of the invoice date, in compliance with Mexican commercial law (Código de Comercio).
5. The Film Director shall comply with all applicable labor regulations, safety protocols, and municipal permits required for film production in Mexico Mexico City, including but not limited to permits from the Secretaría de Cultura de la CDMX and local neighborhood associations (asambleas de vecinos).
6. Intellectual property rights in the final film shall vest in the Buyer. The Film Director grants a non-exclusive license to use his name, likeness, and directorial credits in connection with the film's marketing and distribution. The Film Director shall be credited as "Directed by" in all promotional materials for the film.
7. Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of early termination, the Buyer shall compensate the Film Director for all services rendered up to the date of termination, plus any non-cancellable expenses incurred in Mexico Mexico City.
8. This Purchase Order shall be governed by and construed in accordance with the laws of the United Mexican States, with jurisdiction vested in the courts of Mexico Mexico City, CDMX, for any disputes arising hereunder.
9. All communications regarding this Purchase Order shall be directed to the Project Manager listed above. The Film Director shall provide weekly progress reports to the Buyer during the active production period in Mexico Mexico City.
10. This Purchase Order is valid for acceptance until July 12, 2025. Failure to accept by this date shall render this Purchase Order null and void without further notice.
