This Purchase Order is issued by Himalayan Vision Productions Pvt. The Film Director, Sunita Sharma, shall provide the following professional services as part of this Purchase Order, all to be executed within the Kathmandu Valley and surrounding regions of Nepal:
- Complete creative direction and artistic vision for the 90-minute documentary film, including pre-production planning, shot composition, and narrative structure.
- On-set direction for a minimum of 45 shooting days in Nepal Kathmandu, including locations in Thamel, Patan, Bhaktapur, and the Kathmandu Valley heritage sites.
- Supervision and direction of a crew of no fewer than 25 personnel, including camera operators, sound engineers, lighting technicians, and production assistants.
- Post-production oversight including editing direction, color grading supervision, and final cut approval.
- Participation in at least three (3) promotional events and press conferences in Kathmandu, Nepal, upon completion of the film.
- Mentorship of two (2) junior Nepali assistant directors during the production period as part of capacity-building in the Nepal Kathmandu film industry.

- Advance Payment (30%): NPR 1,078,020 shall be paid within seven (7) working days of the acceptance of this Purchase Order by the Film Director. This advance secures the Film Director's exclusive commitment to the project in Nepal Kathmandu.
- Mid-Production Payment (40%): NPR 1,437,360 shall be disbursed upon completion of the 25th shooting day, subject to the Film Director's written progress report and approval by the Managing Director of Himalayan Vision Productions.
- Final Payment (30%): NPR 1,078,020 shall be paid within fourteen (14) working days of the delivery of the final cut of the film and completion of all promotional obligations in Kathmandu, Nepal.
- All payments are subject to deduction of applicable withholding tax as mandated by the Inland Revenue Department of Nepal.
- This Purchase Order is governed by the laws of the Kingdom of Nepal, specifically the Contract Act, 2056 (1999) and the Companies Act, 2063 (2006). Any disputes arising from this Purchase Order shall be resolved through arbitration in Kathmandu, Nepal, in accordance with the Arbitration Act, 2055 (1998).
- The Film Director warrants that all creative content, direction, and artistic output delivered under this Purchase Order shall be original and free from any intellectual property infringement. The Film Director shall indemnify the Purchasing Party against any third-party claims related to copyright or moral rights.
- The Film Director shall maintain professional liability insurance with a minimum coverage of NPR 5,000,000 throughout the duration of the engagement in Nepal Kathmandu.
- Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination by the Purchasing Party without cause, the Film Director shall be compensated for all work completed up to the date of termination.
- The Film Director shall comply with all local regulations of the Nepal Film Council and the Department of Tourism, Nepal, regarding filming permits in heritage zones of Kathmandu Valley.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding the creative content, financial terms of this Purchase Order, and any proprietary production materials. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to natural disasters, government-imposed restrictions, or other events beyond reasonable control, particularly those common to the Nepal Kathmandu region such as seismic activity or monsoon-related disruptions.
- This Purchase Order shall remain valid for a production period of eight (8) months from the date of issue, unless extended by mutual written agreement of both parties.
By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order for the engagement of the Film Director in Nepal Kathmandu. This document, once signed by both authorized representatives, constitutes a legally binding agreement.
