1. Purpose and Scope of Purchase OrderThis Purchase Order is issued by Wellington Screen Productions Ltd. to formally engage the services of a qualified Film Director for the production of the feature documentary "Harbour Lights." All principal photography, creative direction, and on-set leadership activities shall be conducted within the metropolitan area of New Zealand Wellington, with primary filming locations including the Wellington Harbour, Te Papa Tongarewa, the Weta Workshop, and the surrounding coastal precincts. This Purchase Order constitutes a binding agreement between the Buyer and the Seller for the specific services outlined herein, and all terms are governed by the laws of New Zealand.

The Film Director shall commence pre-production duties on 1 July 2025 in New Zealand Wellington. Principal photography is scheduled to begin on 22 July 2025 and is expected to conclude by 12 August 2025. Post-production supervision shall be completed no later than 30 September 2025. Any changes to this schedule must be communicated in writing to the Buyer at least five (5) business days in advance. The Film Director acknowledges that shooting in New Zealand Wellington may be subject to variable weather conditions, and the contingency days outlined in Item 06 of this Purchase Order shall be utilised accordingly.
4. Payment TermsPayment for the services rendered under this Purchase Order shall be made as follows:
- 30% deposit (NZD $37,308.30) due upon execution of this Purchase Order and prior to commencement of pre-production.
- 40% progress payment (NZD $49,744.40) due upon completion of principal photography (end of August 2025).
- 30% final payment (NZD $37,308.30) due upon delivery of the final cut and written acceptance by the Buyer.
All payments shall be made via bank transfer to the account nominated by the Seller. Invoices must reference this Purchase Order number (NZW-FD-2025-0047). Payment is due within fourteen (14) calendar days of invoice receipt. Late payments shall accrue interest at the rate of 10% per annum in accordance with the New Zealand Late Payment of Debts Interest Act 1998.
5. Terms and Conditions- Qualifications: The Film Director engaged under this Purchase Order must hold a minimum of ten (10) years of professional experience in feature-length documentary or narrative filmmaking and must be a registered member of the New Zealand Screen Directors' Guild.
- Intellectual Property: All creative materials, shot compositions, directorial notes, and final deliverables produced under this Purchase Order shall be the exclusive property of Wellington Screen Productions Ltd. upon full payment. The Film Director retains the right to include the work in their professional portfolio and showreel, subject to the Buyer's prior written approval for public exhibition.
- Insurance: The Film Director shall maintain comprehensive professional indemnity insurance with a minimum cover of NZD $5,000,000 and public liability insurance of NZD $10,000,000 for the duration of the engagement in New Zealand Wellington. Certificates of insurance must be provided prior to the first day of shooting.
- Health and Safety: The Film Director shall comply with all New Zealand Health and Safety at Work Act 2015 requirements. All crew members under the Film Director's supervision must hold valid White Card (General Construction) or equivalent safety certification where applicable to the filming location.
- Confidentiality: The Film Director agrees to maintain strict confidentiality regarding all production materials, scripts, interview content, and business information disclosed during the term of this Purchase Order. This obligation survives termination for a period of five (5) years.
- Termination: Either party may terminate this Purchase Order with fourteen (14) days' written notice. In the event of termination by the Buyer without cause, the Film Director shall be compensated for all services rendered up to the date of termination plus a pro-rata portion of the remaining contract value.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of New Zealand. Any disputes arising hereunder shall be resolved through the Dispute Resolution Service of the New Zealand courts in Wellington.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions, or epidemics affecting New Zealand Wellington.
By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order. This document represents the complete and final agreement between the parties regarding the engagement of the Film Director for the production described herein, and supersedes all prior negotiations, representations, or agreements relating to the subject matter of this Purchase Order in New Zealand Wellington.
