Scope of Procurement – Film Director Services

This Purchase Order is issued by Lagos Film Productions Ltd. to formally engage the services of a qualified Film Director for the production of the feature film titled "Lagos Horizon," a 120-minute narrative film to be shot primarily in and around Nigeria Lagos, including but not limited to the areas of Lekki, Victoria Island, Ikorodu, and the Lagos Lagoon waterfront. The Film Director shall be responsible for the complete creative and artistic direction of the production from pre-production through to final delivery of the finished cut.

Terms and Conditions

1. Acceptance: This Purchase Order constitutes a formal offer by Lagos Film Productions Ltd. to engage the named Film Director. Acceptance of this Purchase Order shall be confirmed in writing by the Film Director within seven (7) calendar days of the date of issue. Failure to respond within this period shall render this Purchase Order null and void.

2. Payment Schedule: A fifty percent (50%) advance payment, amounting to NGN 10,750,000.00, shall be remitted to the Film Director within five (5) business days of signed acceptance. The remaining fifty percent (50%), amounting to NGN 10,750,000.00, shall be paid within ten (10) business days following the Film Director's written certification of final delivery of the completed cut.

3. Performance Period: The Film Director shall commence pre-production activities no later than 1 July 2025 and shall complete all deliverables, including final cut approval, no later than 30 September 2025. All production activities shall take place within the jurisdiction of Nigeria Lagos unless otherwise agreed in writing.

4. Creative Authority: The Film Director shall retain full creative and artistic authority over the direction of the film, subject to the approved script, budget constraints, and the final approval rights of Lagos Film Productions Ltd. as stated in the separate Creative Agreement.

5. Compliance with Nigerian Law: The Film Director shall comply with all applicable laws and regulations of the Federal Republic of Nigeria, including but not limited to the National Film and Video Censors Board (NFVCB) guidelines, the Nigerian Copyright Act, and all local government permits required for filming in Nigeria Lagos. All location permits, noise permits, and traffic diversions shall be coordinated by the production company at its own cost.

6. Insurance: The Film Director shall maintain valid professional indemnity insurance and personal accident coverage for the entire duration of the engagement. Certificates of insurance shall be provided to Lagos Film Productions Ltd. prior to the commencement of principal photography.

7. Confidentiality: The Film Director agrees to maintain strict confidentiality regarding all production materials, scripts, storyboards, and business information pertaining to this Purchase Order and the "Lagos Horizon" project. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.

8. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination by Lagos Film Productions Ltd. without cause, the Film Director shall be compensated for all services rendered up to the date of termination. In the event of termination due to the Film Director's material breach, no further payment shall be due.

9. Dispute Resolution: Any dispute arising from this Purchase Order shall be resolved through mediation in Nigeria Lagos. If mediation fails within thirty (30) days, the dispute shall be referred to arbitration under the rules of the Lagos Court of Arbitration. The governing law shall be the laws of the Federal Republic of Nigeria.

10. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions, or civil unrest in Nigeria Lagos, provided that the affected party gives prompt written notice.
