This Purchase Order is issued by Madrid Cinematográfica Producciones S.L. to formally engage the services of Film Director Don Alejandro Ferrán Solís for the principal feature film production titled "Luz de Medianoche", a 110-minute dramatic feature to be shot entirely within the metropolitan area of Spain Madrid. The Film Director shall be responsible for the complete creative and artistic direction of the production, including but not limited to: pre-production planning, casting oversight, on-set direction of all principal and supporting actors, collaboration with the cinematographer, production designer, and sound department, as well as final editorial guidance during the post-production phase. All services shall be rendered in accordance with the applicable Spanish audiovisual regulations and the collective bargaining agreements of the Madrid film industry.

Payment for this Purchase Order shall be made in accordance with the following schedule, all transfers to be executed via SEPA bank transfer to the Film Director's registered account in Spain Madrid:

• 30% advance payment (EUR 66,283.80) due within 10 business days of the formal acceptance of this Purchase Order.
• 40% progress payment (EUR 88,378.40) due upon completion of principal photography in Spain Madrid.
• 30% final payment (EUR 66,283.80) due within 15 business days of the Film Director's delivery of the final approved cut and all associated creative materials.

All payments are subject to the presentation of valid Spanish fiscal invoices (facturas) compliant with the Agencia Estatal de Administración Tributaria (AEAT) regulations. Late payments shall accrue interest at the rate established by the Spanish Late Payment Directive (Ley 3/2004).

The Film Director's engagement under this Purchase Order shall commence on 1 July 2025 and is expected to conclude no later than 30 November 2025. All principal photography, rehearsals, and editorial sessions shall take place at the following locations within Spain Madrid:

• Madrid Film Studios, Calle de los Oficios 1, 28020 Madrid
• Various exterior locations in the districts of Salamanca, Retiro, and Chamartín, Madrid
• Post-production facilities at the Centro de Producción Audiovisual, Carretera de la Alameda 18, 28041 Madrid

The Film Director shall be available on-site for a minimum of 12 hours per shooting day, with overtime compensated at 1.5× the daily rate as specified in Line Item 06 of this Purchase Order.

1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Spain, with exclusive jurisdiction vested in the courts of Madrid, Spain.
2. Intellectual Property: All creative works, direction materials, shot lists, and editorial decisions produced by the Film Director in the course of this engagement shall be the exclusive property of Madrid Cinematográfica Producciones S.L. upon full payment. The Film Director retains moral rights as protected under Spanish intellectual property law (Ley de Propiedad Intelectual, Real Decreto Legislativo 1/1996).
3. Confidentiality: The Film Director agrees to maintain strict confidentiality regarding all production details, scripts, casting decisions, and creative strategies pertaining to this project, both during and for a period of three (3) years following the conclusion of this Purchase Order.
4. Insurance: The Film Director shall maintain valid professional liability insurance and personal accident coverage throughout the duration of the engagement in Spain Madrid, with a minimum coverage of EUR 1,000,000 per occurrence.
5. Termination: Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination for convenience by the Buyer, the Film Director shall be compensated for all services rendered up to the termination date plus a 10% completion bonus on the remaining contract value.
6. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government-mandated shutdowns, or pandemics affecting the Spain Madrid region.
7. Compliance: The Film Director warrants that all services rendered under this Purchase Order shall comply with applicable Spanish labor laws, data protection regulations (GDPR and the Spanish Organic Law 3/2018), and all relevant audiovisual industry standards in Madrid.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the Film Director engagement in Spain Madrid. This document constitutes a binding commercial agreement upon execution by both authorized representatives.
