- This Purchase Order is issued by Safari Vision Productions Ltd., a company duly registered under the laws of the United Republic of Tanzania, and constitutes a binding agreement for the engagement of the named Film Director for the production of the feature film "Mji wa Mvua," to be filmed primarily in and around Dar es Salaam, Tanzania.
- The Film Director shall commence all pre-production activities no later than 01 July 2025 and shall deliver the final cut of the film to Safari Vision Productions Ltd. by 30 October 2025, in accordance with the production schedule agreed upon in the attached Statement of Work.
- All services rendered under this Purchase Order shall be performed in Dar es Salaam, Tanzania, or at such other locations within the Dar es Salaam region as may be reasonably required for the filming of "Mji wa Mvua." The Film Director shall comply with all local filming permits issued by the Dar es Salaam City Council and the Tanzania Film Commission.
- Payment shall be made in Tanzanian Shillings (TZS) via bank transfer to the account designated by the Film Director. Invoices must be submitted within five (5) business days of each milestone completion. Payment is due within thirty (30) calendar days of receipt of a valid invoice bearing the Tanzania Revenue Authority VAT registration number.
- The Film Director warrants that all creative work, including but not limited to shot compositions, directorial interpretations, and editorial decisions, shall be original and shall not infringe upon any intellectual property rights of third parties. All deliverables shall become the sole property of Safari Vision Productions Ltd. upon full payment.
- In the event of force majeure, including but not limited to severe weather conditions affecting coastal filming in Dar es Salaam, political instability, or government-imposed restrictions, either party may suspend performance without penalty, provided written notice is given within forty-eight (48) hours.
- This Purchase Order shall be governed by and construed in accordance with the laws of the United Republic of Tanzania. Any disputes arising hereunder shall be resolved through arbitration in Dar es Salaam in accordance with the Arbitration Act, Cap. 20, Laws of Tanzania.
- The Film Director shall maintain professional liability insurance with a minimum coverage of TZS 500,000,000 throughout the duration of the engagement and shall provide a certificate of insurance to Safari Vision Productions Ltd. prior to the commencement of principal photography.
- All personnel engaged by the Film Director as part of the directorial team (including assistant directors, script supervisors, and production designers) must hold valid work permits or Tanzanian citizenship documentation as required by the Immigration and Passport Services of Tanzania.
- This Purchase Order may be amended only by mutual written agreement signed by both parties. No oral modifications shall be binding.
