This Purchase Order is issued by East African Cinematic Productions Ltd. to formally engage the services of a qualified and experienced Film Director for the full pre-production, production, and post-production oversight of the feature-length documentary film titled "Voices of the Nile: A Kampala Story". The Film Director shall be responsible for the complete creative and technical direction of the project, which is to be filmed primarily in and around Uganda Kampala, including but not limited to the city centre, the Kampala Riverfront, the Makerere University campus, and the surrounding Wakiso District locations. The Film Director shall interpret the approved script, manage the on-set crew, coordinate with local talent and community stakeholders in Uganda Kampala, and ensure the final deliverable meets the international broadcast standards required by the commissioning broadcaster.

All amounts are quoted in Ugandan Shillings (UGX). The total grand sum of this Purchase Order is Three Hundred and Forty-Four Million, Five Hundred and Sixty Thousand Ugandan Shillings (UGX 344,560,000) inclusive of all applicable taxes and duties levied within the Republic of Uganda.
4. Terms and Conditions- Scope of Work: The Film Director shall perform all duties in strict accordance with the creative brief and production schedule attached hereto as Annexure A. Any material deviation from the approved script or shooting schedule in Uganda Kampala must be communicated in writing to the Buyer at least 48 hours in advance.
- Payment Terms: Payment shall be made in three (3) instalments: 30% upon execution of this Purchase Order, 40% upon completion of principal photography, and 30% upon delivery of the final cut. All payments shall be made via bank transfer to the account specified by the Supplier within fourteen (14) calendar days of invoice submission.
- Intellectual Property: All footage, scripts, storyboards, and creative materials produced under this Purchase Order shall be the sole and exclusive property of East African Cinematic Productions Ltd. The Film Director retains the right to display the completed work in personal portfolios and industry festivals, subject to prior written consent from the Buyer.
- Compliance with Local Law: The Supplier and the Film Director shall comply with all applicable laws of the Republic of Uganda, including but not limited to the Uganda Film Commission Act, the Kampala Capital City Authority filming regulations, and the Uganda Revenue Authority tax obligations. All filming permits for Uganda Kampala locations shall be secured before the commencement of any shoot day.
- Insurance and Liability: The Supplier shall maintain comprehensive professional indemnity insurance and public liability insurance with a minimum cover of UGX 500,000,000 for the entire duration of the engagement. The Film Director shall be responsible for the safety of all crew and cast members on set.
- Termination: Either party may terminate this Purchase Order by providing thirty (30) days' written notice. In the event of termination, the Buyer shall be liable for all services rendered up to the date of termination, and the Supplier shall deliver all work-in-progress materials to the Buyer.
- Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to good-faith negotiation. Failing resolution within thirty (30) days, the matter shall be referred to arbitration under the rules of the Uganda Arbitration Centre, Kampala, and the decision of the arbitrator shall be final and binding.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Uganda. The courts of Uganda Kampala shall have exclusive jurisdiction over any matters not referred to arbitration.
By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order. The Buyer confirms its commitment to engage the Film Director for the production of the aforementioned documentary in Uganda Kampala, and the Supplier confirms its acceptance of the scope, timeline, and compensation outlined herein.
