Scope of Services – Film Director Engagement

This Purchase Order is issued by Stellar Vision Productions LLC, a company duly registered in the United Arab Emirates Dubai, to formally engage the services of Mr. Khalid Al Mansoori, a licensed and experienced Film Director, for the creative leadership and on-set direction of the feature film production titled "Desert Horizons". The Film Director shall be responsible for all artistic and creative decisions pertaining to the visual storytelling, actor direction, camera composition, scene blocking, and overall cinematic vision of the project. All services shall be rendered in compliance with the media regulations of the UAE National Media Council and the Dubai Media Office.

Terms and Conditions

1. Governing Law and Jurisdiction: This Purchase Order and all associated services shall be governed by and construed in accordance with the federal laws of the United Arab Emirates and the specific regulations of Dubai. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the Dubai Courts, United Arab Emirates Dubai.

2. Film Director Obligations: The Film Director, Mr. Khalid Al Mansoori, shall devote his full professional attention to the project during the contracted period. He shall adhere to the creative brief approved by the production committee and shall not undertake concurrent directing engagements without prior written consent from Stellar Vision Productions LLC. The Film Director shall comply with all safety protocols mandated by the Dubai Film Commission and the UAE Ministry of Culture and Youth.

3. Payment Schedule: Payment shall be made via bank transfer to the vendor's designated account in the United Arab Emirates Dubai. The 30% advance payment (AED 327,757.50) shall be released within five (5) business days of the acceptance of this Purchase Order. The 40% mid-production payment (AED 437,010.00) shall be due upon completion of principal photography. The final 30% balance (AED 327,757.50) shall be released within ten (10) business days of the Film Director's written sign-off on the final cut.

4. Intellectual Property: All creative work, including but not limited to shot compositions, directorial notes, storyboard interpretations, and final editorial decisions made by the Film Director under this Purchase Order, shall be the exclusive property of Stellar Vision Productions LLC. The Film Director retains the right to credit as "Directed by" in all promotional materials and festival submissions.

5. Cancellation and Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination by Stellar Vision Productions LLC without cause, the Film Director shall be compensated for all services rendered up to the termination date plus a 15% penalty fee on the remaining contract value. Termination due to the Film Director's material breach shall not entitle him to any further compensation.

6. Insurance and Liability: The Film Director shall maintain professional indemnity insurance with a minimum coverage of AED 2,000,000 throughout the duration of this Purchase Order. The Film Director shall be liable for any damage to production equipment or property caused by his direct negligence during on-set operations in United Arab Emirates Dubai.

7. Confidentiality: The Film Director agrees to maintain strict confidentiality regarding the screenplay, production schedules, cast information, and all proprietary materials of the project. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.

8. Compliance: The Film Director warrants that he holds a valid UAE residence visa and a valid trade license for creative services in the United Arab Emirates Dubai. He further warrants compliance with all UAE labor laws, media censorship regulations, and the Dubai Media City Office guidelines applicable to film production.
