All services shall be performed within the United Kingdom Birmingham metropolitan area and its surrounding regions, with principal filming locations situated in the West Midlands. - A deposit of 25% (£23,160.00) shall be payable within fourteen (14) calendar days of acceptance of this Purchase Order, by bank transfer to the Film Director's nominated business account.
- Progress payments of 25% shall be due at the midpoint of principal photography (Week 3 of on-set direction in Birmingham, United Kingdom).
- The remaining 50% balance shall be payable within twenty-one (21) days of the Film Director's written confirmation of final delivery of all creative materials.
- All payments shall be made in British Pounds Sterling (GBP) via BACS or CHAPS transfer. Late payments shall incur interest at a rate of 4% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
- Any disputed amounts must be raised in writing within seven (7) days of invoice receipt. Undisputed portions shall be paid on the original due date.
- This Purchase Order constitutes a binding agreement between Meridian Visual Productions Ltd. and Mr. James A. Thornton (Film Director) upon written acceptance by both parties.
- The Film Director shall perform all services with reasonable skill, care, and in accordance with the professional standards expected of a senior Film Director operating in the United Kingdom Birmingham film and television industry.
- All services shall be carried out in compliance with the Health and Safety at Work etc. Act 1974, the Employment Rights Act 1996, and all applicable local regulations within Birmingham, United Kingdom.
- The Film Director shall maintain adequate professional indemnity insurance (minimum £5,000,000) and public liability insurance (minimum £10,000,000) for the duration of the engagement.
- All creative materials, scripts, storyboards, and editorial decisions produced under this Purchase Order shall be the intellectual property of Meridian Visual Productions Ltd. upon full payment, subject to the Film Director's moral rights under the Copyright, Designs and Patents Act 1988.
- The Film Director shall not subcontract any portion of the creative direction services without prior written consent from the Purchasing Party.
- Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Film Director shall be compensated for all services rendered up to the date of termination.
- This Purchase Order shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of Birmingham, United Kingdom.
- The Film Director shall comply with all data protection obligations under the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018 when handling personal data of cast, crew, and subjects filmed in Birmingham, United Kingdom.
- Force majeure events, including but not limited to severe weather, public health emergencies, or government-mandated restrictions affecting the Birmingham, United Kingdom area, shall relieve the affected party from performance obligations for the duration of the event, provided written notice is given within 48 hours.
