This Purchase Order is issued by Meridian Pictures Productions Ltd. to formally engage the services of Ms. Eleanor C. All creative direction, on-set leadership, and post-production oversight shall be conducted within the metropolitan area of United Kingdom London, with principal photography scheduled to take place across multiple locations including Pinewood Studios (Borehamwood), the South Bank, and the City of London financial district. All payments under this Purchase Order shall be made in British Pounds Sterling (GBP) via direct bank transfer to the account details specified in Section 2. Payment shall be structured as follows: 25% advance deposit upon execution of this Purchase Order; 40% milestone payment upon completion of principal photography; 25% upon delivery of the final cut; and 10% retention released 30 days after theatrical or streaming release. All invoices must reference this Purchase Order number (PO-2025-LDN-FD-0047) and shall be payable within 30 calendar days of receipt. Late payments shall accrue interest at the rate of 4% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998 applicable in the United Kingdom.
- This Purchase Order constitutes a binding agreement between Meridian Pictures Productions Ltd. and Ashworth Direction & Creative Ltd. for the provision of Film Director services in United Kingdom London. Both parties acknowledge that this document supersedes all prior negotiations, correspondence, and understandings relating to the engagement.
- The Film Director shall perform all duties in accordance with the British Film Institute (BFI) industry standards, the Screen Actors Guild (SAG) UK code of practice, and all applicable health and safety regulations as enforced by the Health and Safety Executive (HSE) in the United Kingdom.
- All intellectual property, including but not limited to directorial interpretations, shot compositions, and creative methodologies developed during the engagement, shall be the sole property of Meridian Pictures Productions Ltd. upon full payment of the Purchase Order value.
- The Film Director shall maintain professional indemnity insurance with a minimum cover of £5,000,000 and public liability insurance of £10,000,000 throughout the duration of the engagement in United Kingdom London.
- Either party may terminate this Purchase Order with 14 days' written notice in the event of material breach. In the event of termination, the Film Director shall be compensated for all services rendered up to the date of termination, plus a reasonable wind-down period.
- All disputes arising from this Purchase Order shall be resolved through mediation in London, United Kingdom, in accordance with the rules of the Centre for Effective Dispute Resolution (CEDR). If mediation fails, the matter shall be referred to the courts of England and Wales.
- This Purchase Order is governed by and shall be construed in accordance with the laws of England and Wales. The jurisdiction of the courts of London, United Kingdom shall be exclusive for all matters relating to this agreement.
- The Film Director warrants that all services shall be performed with reasonable skill and care, in a professional and timely manner, and in full compliance with the Data Protection Act 2018 and the UK General Data Protection Regulation (UK GDPR).
- Confidentiality obligations shall survive the termination of this Purchase Order for a period of five (5) years. The Film Director shall not disclose any production details, script contents, or financial terms to any third party without prior written consent from Meridian Pictures Productions Ltd.
Pre-production activities shall commence on 1st July 2025. Principal photography is scheduled to begin on 15th July 2025 and is anticipated to conclude by 12th August 2025, subject to weather and location availability within United Kingdom London. Post-production supervision shall take place between 1st September 2025 and 31st October 2025 at the editing facilities located in Soho, London. The final delivery of the completed picture to the distributor is expected no later than 15th November 2025.
