1. Description of Purchase OrderThis Purchase Order is issued by Zambezi Media Productions (Pvt) Ltd, a registered production company operating in Zimbabwe Harare, to formally request and authorize the procurement of professional Film Director services for the upcoming feature-length documentary project titled "Voices of the Shona Highlands". This Purchase Order constitutes a binding agreement between the Purchasing Party and the Supplier for the engagement of a qualified Film Director who will oversee all aspects of creative direction, on-set management, and post-production supervision for the duration of the project. The Film Director engaged under this Purchase Order shall be based in Zimbabwe Harare and shall conduct all principal photography, rehearsals, and creative meetings within the Harare metropolitan area and surrounding provinces as specified in the project schedule.

- Scope of Engagement: The Film Director engaged under this Purchase Order shall be responsible for the complete creative vision of the documentary, including but not limited to shot composition, actor and subject direction, pacing, narrative structure, and final artistic approval. The Film Director shall report directly to the Head of Production at Zambezi Media Productions in Zimbabwe Harare.
- Delivery Schedule: Pre-production activities shall commence on 1 July 2025. Principal photography is scheduled between 15 July 2025 and 15 August 2025. Post-production shall be completed no later than 30 September 2025. All milestones are subject to the project timeline approved by both parties in Zimbabwe Harare.
- Payment Terms: Payment shall be made in three installments: 30% upon signing of this Purchase Order, 40% upon completion of principal photography, and 30% upon delivery of the final cut. All payments shall be made via bank transfer to the Supplier's designated account in Zimbabwe Harare within fourteen (14) business days of invoice submission.
- Qualifications: The Film Director must hold a minimum of five (5) years of professional experience in documentary or feature film direction, possess a valid Zimbabwean work permit or citizenship, and demonstrate familiarity with the cultural and geographic context of Zimbabwe Harare and its surrounding regions.
- Intellectual Property: All creative materials, storyboards, shot lists, and final footage produced under this Purchase Order shall remain the exclusive property of Zambezi Media Productions (Pvt) Ltd. The Film Director retains the right to display the completed work in personal portfolios and industry festivals, subject to prior written approval from the Purchasing Party.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Supplier shall be compensated for all services rendered up to the date of termination, and the Film Director shall deliver all work-in-progress materials to the Purchasing Party in Zimbabwe Harare.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Zimbabwe. Any disputes arising from this Purchase Order shall be resolved through arbitration in Harare, Zimbabwe, in accordance with the Arbitration Act [Chapter 7:15] of Zimbabwean law.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions, or public health emergencies affecting operations in Zimbabwe Harare.
- Confidentiality: The Film Director agrees to maintain strict confidentiality regarding all production details, scripts, and unreleased footage. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Compliance: The Supplier and the Film Director shall comply with all applicable Zimbabwean labor laws, tax regulations administered by the Zimbabwe Revenue Authority (ZIMRA), and industry standards set by the Zimbabwe Film Commission.
