The Financial Analyst assigned to fulfill the obligations of this Purchase Order must meet the following minimum qualifications, as mandated by the procurement regulations applicable in Brazil Brasília:

• A minimum of a Bachelor's degree in Finance, Economics, Accounting, or a related field from an institution accredited by the Brazilian Ministry of Education (MEC).
• A minimum of five (5) years of progressive professional experience in financial analysis, with at least two (2) years of experience working on public-sector or government-related financial projects in Brazil.
• Professional registration with the relevant Brazilian professional council (e.g., CRC – Conselho Regional de Contabilidade) where applicable.
• Demonstrated proficiency in financial modeling software (Excel Advanced, SAP, Oracle Financials) and familiarity with Brazilian fiscal legislation (Lei de Responsabilidade Fiscal – LRF).
• Fluency in Portuguese for all official documentation and reporting; working proficiency in English is required for this Purchase Order given the bilingual reporting requirements of the Federal District.
• Residence or legal work authorization within the Federal District of Brazil Brasília or willingness to relocate within thirty (30) days of the effective date of this Purchase Order.

Payment under this Purchase Order shall be made in Brazilian Reais (BRL) via electronic bank transfer (TED/PIX) to the account designated by Apex Financial Consulting Ltda. Invoices shall be submitted monthly by the 5th business day, referencing the Purchase Order number PO-BR-BSB-2025-04782. Payment shall be processed within thirty (30) calendar days from the date of invoice receipt, in accordance with the Federal Procurement Law (Lei nº 14.133/2021) as applied in Brazil Brasília. Late payments shall accrue interest at the rate established by the Central Bank of Brazil (Banco Central do Brasil) for the applicable period.

All services rendered under this Purchase Order by the Financial Analyst shall be performed on-site at the Brasília Federal Procurement Authority offices, Esplanada dos Ministérios, Bloco C, Brazil Brasília – DF, 70059-900. The Financial Analyst shall adhere to the standard working hours of the Federal District government (Monday through Friday, 08:00 to 17:00 BRT) unless otherwise authorized in writing by the contracting officer. Remote work arrangements, if any, must be pre-approved and shall not exceed two (2) days per week.

1. This Purchase Order constitutes a binding agreement between the Brasília Federal Procurement Authority and Apex Financial Consulting Ltda. upon signature by both parties. All terms herein are governed by the laws of the Federative Republic of Brazil, with jurisdiction vested in the courts of Brazil Brasília.
2. The Financial Analyst engaged under this Purchase Order shall maintain strict confidentiality regarding all financial data, budgetary information, and proprietary documents accessed during the performance of duties in Brazil Brasília. A Non-Disclosure Agreement (NDA) shall be executed prior to the commencement of services.
3. The supplier shall ensure that the Financial Analyst complies with all applicable labor laws, social security contributions (INSS), and tax obligations (IRRF, PIS, COFINS) as required by Brazilian federal and District of Brasília regulations.
4. Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the supplier shall be compensated for services rendered up to the effective date of termination, as documented by the Financial Analyst's timesheets and deliverables.
5. The supplier warrants that the Financial Analyst shall not be engaged in any conflict of interest with the Federal District government of Brazil Brasília during the term of this Purchase Order.
6. All deliverables, reports, and analyses produced by the Financial Analyst under this Purchase Order shall be the exclusive property of the Brasília Federal Procurement Authority and shall be delivered in both Portuguese and English.
7. Any disputes arising from this Purchase Order shall first be subject to mediation in Brazil Brasília before proceeding to judicial arbitration.

By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the Financial Analyst in Brazil Brasília. This document is valid for a period of ninety (90) days from the date of issue, after which a new Purchase Order must be issued to continue the engagement.
