This Purchase Order is issued by Beijing Meridian Capital Group Co., Ltd. (hereinafter referred to as the "Buyer") to Apex Professional Talent Solutions (Beijing) Co., Ltd. (hereinafter referred to as the "Seller") for the procurement and engagement of a qualified Financial Analyst professional to be stationed and performing duties within the China Beijing metropolitan area. The Financial Analyst shall be responsible for delivering comprehensive financial modeling, variance analysis, budget forecasting, and investment performance reporting in support of the Buyer's corporate finance division operating out of its principal office in China Beijing.
The scope of the Financial Analyst engagement under this Purchase Order includes, but is not limited to, the following deliverables:
- Preparation of monthly and quarterly financial reports aligned with Chinese Accounting Standards (CAS) and International Financial Reporting Standards (IFRS) as applicable to operations in China Beijing.
- Development and maintenance of financial models for capital allocation, project valuation, and risk assessment specific to the China Beijing market environment.
- Conducting detailed variance analysis between projected and actual financial performance across all business units headquartered in China Beijing.
- Providing strategic financial insights and recommendations to the Chief Financial Officer and senior management team based on macroeconomic indicators relevant to the China Beijing region.
- Collaboration with the internal audit team to ensure compliance with the Company Law of the People's Republic of China and all applicable financial regulations enforced by the China Securities Regulatory Commission (CSRC).

All services procured under this Purchase Order shall be performed and delivered at the Buyer's principal office located in China Beijing, specifically at the address stated in Section 1. The Financial Analyst shall report to the Buyer's Corporate Finance Department on a full-time basis, Monday through Friday, 09:00 to 18:00 China Standard Time (CST, UTC+8). Any remote work arrangements must be pre-approved in writing by the Buyer's Human Resources Director and must comply with data security regulations enforced by the Cyberspace Administration of China.
Payment for this Purchase Order shall be made in Renminbi (CNY) via bank transfer to the Seller's designated corporate account in China Beijing. The payment schedule is as follows:
- 30% advance payment (CNY 105,735.00) due within five (5) business days of mutual execution of this Purchase Order.
- 50% milestone payment (CNY 176,225.00) due upon successful onboarding and commencement of duties by the Financial Analyst in China Beijing.
- 20% final payment (CNY 70,490.00) due upon completion of the 90-day performance guarantee period with satisfactory evaluation.
All invoices must reference Purchase Order No. PO-CBJ-2025-04782. Late payments shall incur a penalty of 0.05% per calendar day in accordance with Chinese commercial practice.
- This Purchase Order is governed by the laws of the People's Republic of China. Any disputes arising from this Purchase Order shall be resolved through arbitration at the Beijing Arbitration Commission (BAC) in China Beijing.
- The Seller warrants that the Financial Analyst procured under this Purchase Order shall meet all qualifications specified herein and shall not be subject to any non-compete or confidentiality obligations that would restrict performance of duties for the Buyer in China Beijing.
- The Buyer reserves the right to terminate this Purchase Order with thirty (30) days' written notice if the Financial Analyst fails to meet the performance benchmarks outlined in the attached Service Level Agreement.
- All intellectual property, financial models, analyses, and reports created by the Financial Analyst during the engagement shall be the sole property of the Buyer.
- Both parties agree to maintain strict confidentiality regarding the terms of this Purchase Order and any financial data accessed by the Financial Analyst while operating in China Beijing.
- This Purchase Order becomes effective upon signature by authorized representatives of both parties and remains valid until full performance of all obligations herein.
