This Purchase Order is issued by Munich Corporate Advisory Group GmbH (hereinafter referred to as the "Buyer") to FinAnalytica Professional Services AG (hereinafter referred to as the "Supplier") for the procurement of a dedicated Financial Analyst professional service. The Buyer requires the engagement of a qualified Financial Analyst to support its corporate finance, investment evaluation, and budgeting operations within its Munich, Germany headquarters. The Financial Analyst shall be embedded within the Buyer's Finance & Strategy Division and shall report directly to the Chief Financial Officer of the Munich office.

The Financial Analyst engaged under this Purchase Order shall perform, but not be limited to, the following duties and responsibilities:

  • Preparation and maintenance of monthly, quarterly, and annual financial reports in compliance with German commercial law (HGB) and International Financial Reporting Standards (IFRS).
  • Development and management of detailed financial models for capital expenditure planning, project feasibility studies, and long-range strategic forecasting.
  • Conducting variance analysis between actual performance and budgeted figures, with written recommendations for corrective action presented to senior management in Munich.
  • Supporting the annual budgeting cycle and mid-year budget revisions for all business units operating out of the Germany Munich headquarters.
  • Performing cost-benefit analyses, return-on-investment (ROI) calculations, and net present value (NPV) assessments for proposed corporate investments and acquisitions.
  • Maintaining and updating the general ledger, accounts payable, and accounts receivable systems in coordination with the external audit team.
  • Providing ad-hoc financial reporting and data extraction to support board-level decision-making and investor relations activities.
  • Ensuring full compliance with the German Securities Trading Act (WpHG) and relevant regulatory reporting obligations applicable to the Buyer's operations in Munich.

  1. Governing Law: This Purchase Order and all services rendered hereunder shall be governed by and construed in accordance with the laws of the Federal Republic of Germany. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Munich, Germany.
  2. Place of Performance: All services related to this Purchase Order shall be performed at the Buyer's primary office located in Germany Munich, Maximilianstraße 42, 80539 Munich. The Financial Analyst shall be physically present at this location a minimum of four (4) days per week, with one (1) day permitted for remote work as agreed upon in writing.
  3. Payment Schedule: Invoices shall be submitted by the Supplier on a monthly basis by the 5th business day of the following month. Payment shall be made via SEPA bank transfer to the account specified on the invoice within thirty (30) calendar days of the invoice date. Late payments shall accrue interest at the statutory rate under § 288 of the German Civil Code (BGB).
  4. Confidentiality and Data Protection: The Financial Analyst shall be bound by a strict non-disclosure agreement (NDA) and shall comply fully with the General Data Protection Regulation (GDPR) and the German Federal Data Protection Act (BDSG). All financial data, client information, and proprietary models accessed in the course of this Purchase Order shall remain the exclusive property of the Buyer.
  5. Termination: Either party may terminate this Purchase Order with a written notice period of sixty (60) days. In the event of material breach, termination may be effected with immediate effect. Upon termination, the Supplier shall provide a full handover of all work product, models, and documentation to the Buyer within fourteen (14) days.
  6. Warranty and Indemnification: The Supplier warrants that the Financial Analyst engaged under this Purchase Order possesses the requisite qualifications, certifications, and professional experience. The Supplier shall indemnify the Buyer against any claims arising from the negligence or professional misconduct of the Financial Analyst.
  7. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, pandemics, or government-mandated closures affecting operations in Germany Munich.

This Purchase Order constitutes a binding procurement commitment upon signature by both parties. The Supplier acknowledges receipt of this Purchase Order and confirms its ability to deliver the Financial Analyst services as specified herein, commencing on the required commencement date at the Germany Munich office.

Note: This Purchase Order is subject to final approval by the Buyer's Board of Management. The engagement of the Financial Analyst is contingent upon successful completion of background checks, reference verification, and compliance with all applicable German labor law requirements (Arbeitsrecht) and works council (Betriebsrat) consultation procedures in Munich. This Purchase Order (PO-2025-MUC-04872) is valid for a period of ninety (90) days from the date of issue. After this period, the Purchase Order shall lapse unless renewed in writing by both parties.
