5.1 Commencement and Duration: The services described in this Purchase Order shall commence on 1 July 2025 and shall continue for a period of twelve (12) months, concluding on 30 June 2026, unless terminated earlier in accordance with Section 5.6. The Financial Analyst shall report to the Japan Osaka headquarters on the first business day of the engagement.
5.2 Payment Terms: Payment shall be made in monthly installments of JPY 2,501,583 (inclusive of consumption tax) within thirty (30) days of receipt of a valid invoice. The final installment shall be due within fifteen (15) days of the completion of all deliverables. All payments shall be processed via bank transfer to the account designated by the supplier in Japan Osaka.
5.3 Performance Standards: The Financial Analyst shall adhere to the performance metrics outlined in the attached Service Level Agreement (SLA), which includes a minimum of ninety-five percent (95%) accuracy in financial forecasts, timely submission of all quarterly reports, and full compliance with the Japan Osaka data protection and confidentiality protocols.
5.4 Intellectual Property: All work products, models, analyses, and reports generated by the Financial Analyst in the course of this Purchase Order shall be the exclusive property of Osaka Metropolitan Financial Group, K.K. The supplier grants no third-party rights to any deliverables produced at the Japan Osaka facility.
5.5 Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary financial data, client information, and strategic plans disclosed during the term of this Purchase Order. This obligation shall survive the termination of this agreement for a period of three (3) years.
5.6 Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach by the supplier, the buyer may terminate immediately upon written notice. Upon termination, the Financial Analyst shall return all company property, data, and access credentials associated with the Japan Osaka office.
5.7 Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of Japan. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the Osaka District Court, Japan Osaka.
All services under this Purchase Order shall be performed at the buyer's principal office in Japan Osaka, specifically at the Osaka Business Park, 12F, Umeda Tower, 3-1-1 Nakanoshima, Kita-ku, Osaka 530-6011. The Financial Analyst shall be provided with a dedicated workstation, secure network access, and all necessary resources to perform duties effectively within the Japan Osaka operational environment.
This Purchase Order has been reviewed and approved by the Procurement Committee of Osaka Metropolitan Financial Group, K.K. The engagement of the Financial Analyst is authorized under Budget Code FIN-2025-OSK-044 and falls within the approved annual procurement allocation for the Japan Osaka division.
