This Purchase Order is issued by Meridian Capital Advisory Group Ltd. to Apex Financial Consulting & Analytics Ltd. for the engagement of a qualified Financial Analyst to provide comprehensive financial analysis, reporting, and advisory services. The Financial Analyst shall be physically based and operational within Nigeria Lagos, specifically at the Buyer's office in Victoria Island, and shall report directly to the Chief Financial Officer of the Buyer. The scope of work encompasses the preparation of monthly and quarterly financial statements, variance analysis, budget forecasting, cash flow modelling, investment portfolio evaluation, and the production of board-level financial presentations. The Financial Analyst must hold a minimum of a Bachelor's degree in Accounting, Finance, or a related discipline, possess at least five (5) years of progressive experience in financial analysis within the Nigerian banking, insurance, or capital markets sector, and be a member in good standing of the Association of Chartered Accountants of Nigeria (ACAN) or the Institute of Chartered Accountants of Nigeria (ICAN). All deliverables must comply with the International Financial Reporting Standards (IFRS) as adopted in Nigeria and the regulatory requirements of the Securities and Exchange Commission (SEC) of Nigeria and the Central Bank of Nigeria (CBN) as applicable to operations in Nigeria Lagos.

5. TERMS AND CONDITIONS

1. This Purchase Order constitutes a binding agreement between the Buyer and the Seller upon countersignature. All services described herein shall be rendered exclusively within the jurisdiction of Nigeria Lagos, and the Financial Analyst shall not be redeployed to any other location without prior written consent from the Buyer.
2. Payment shall be made in Nigerian Naira (NGN) via bank transfer to the Seller's designated account domiciled in Nigeria Lagos. Invoices shall be submitted on the last working day of each calendar month, and payment shall be processed within thirty (30) calendar days of receipt of a valid invoice.
3. The Financial Analyst engaged under this Purchase Order shall be subject to the Buyer's code of conduct, data protection policies, and confidentiality agreements in full compliance with the Nigeria Data Protection Act (NDPA) 2023 and the Nigeria Information Technology Act.
4. The Seller warrants that the Financial Analyst shall possess all necessary professional certifications, valid ICAN/ACAN membership, and any other regulatory clearances required to perform financial analysis services in Nigeria Lagos.
5. Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of early termination, the Buyer shall be liable for all services rendered up to the effective date of termination, less any unearned portion of the retainer.
6. All disputes arising from this Purchase Order shall be resolved through arbitration in Nigeria Lagos in accordance with the Arbitration and Conciliation Act (Cap A18, Laws of the Federation of Nigeria 2004), and the governing law shall be the laws of the Federal Republic of Nigeria.
7. The Seller shall indemnify the Buyer against any claims, losses, or liabilities arising from the negligence, gross misconduct, or professional malpractice of the Financial Analyst during the term of this engagement.
8. This Purchase Order is subject to the Buyer's internal procurement policies and the Public Procurement Act 2007 (where applicable to any government-linked entities) and all relevant tax obligations under the Nigeria Tax Act 2025.

6. DELIVERY AND COMMENCEMENT

The Financial Analyst shall commence duties no later than 1 July 2025 at the Buyer's premises in Victoria Island, Nigeria Lagos. All initial onboarding, system access provisioning, and orientation to the Buyer's financial reporting infrastructure shall be completed within the first ten (10) working days. The Seller shall provide a written confirmation of the Financial Analyst's availability and readiness at least five (5) business days prior to the commencement date.
