This Purchase Order is issued in accordance with the applicable commercial regulations of the Kingdom of Spain and governs the procurement of a qualified Financial Analyst to be deployed at the Buyer's principal office located in Spain Madrid.

The Buyer hereby requests, through this Purchase Order, the provision of a senior-level Financial Analyst professional to be assigned to the Buyer's headquarters in Spain Madrid for a contract period of twelve (12) months, commencing on 01 September 2025 and concluding on 31 August 2026, unless extended by mutual written agreement.

The Financial Analyst engaged under this Purchase Order shall be responsible for, but not limited to, the following duties:

(a) Preparation and maintenance of comprehensive financial models, variance analyses, and forecasting reports for the Buyer's operations in Spain Madrid and its international subsidiaries;

(b) Conducting quarterly and annual financial performance reviews, including budget-to-actual comparisons and identification of material variances;

(c) Assisting the Chief Financial Officer and senior management in strategic planning, capital allocation decisions, and investment appraisal;

(d) Managing the monthly and quarterly closing processes, ensuring compliance with Spanish GAAP (Plan General de Contabilidad) and applicable European Union financial reporting directives;

(e) Preparing board-level presentations and investor reports in both Spanish and English;

(f) Coordinating with external auditors, tax advisors, and regulatory bodies operating within the jurisdiction of Spain Madrid.

All payments under this Purchase Order shall be made in Euros (EUR) via bank transfer to the Supplier's designated account. The Buyer shall remit payment within thirty (30) calendar days from the date of receipt of a valid invoice from the Supplier. Invoices must reference this Purchase Order number (PO-2025-SPM-0472) and include the Supplier's NIF for compliance with Spanish tax regulations.

The monthly professional fee for the Financial Analyst (Item 01) shall be invoiced on the first business day of each month in arrears. All other line items shall be invoiced as a lump sum upon successful completion of the onboarding period and delivery of the software licenses.

Late payments shall accrue interest at the rate established by the Spanish Law on Late Payment in Commercial Transactions (Ley 3/2004), currently set at the European Central Bank reference rate plus eight percentage points.

The Financial Analyst engaged under this Purchase Order must hold a minimum of five (5) years of progressive experience in financial analysis, corporate finance, or a closely related discipline. The candidate must possess a recognized university degree in Finance, Economics, Accounting, or Business Administration, and preferably hold a professional certification such as CFA (Chartered Financial Analyst), ACCA, or equivalent qualification recognized in Spain Madrid.

The Supplier warrants that the Financial Analyst shall be fully authorized to work in Spain Madrid, shall comply with all applicable Spanish labor laws (Estatuto de los Trabajadores), and shall maintain all necessary professional registrations. The Supplier assumes full responsibility for the employment relationship, social security contributions, and any labor obligations arising from the engagement of the Financial Analyst.

The Financial Analyst shall be bound by a strict confidentiality agreement covering all financial data, proprietary models, client information, and strategic documents accessed during the term of this Purchase Order. All personal data processed in connection with this engagement shall comply with the General Data Protection Regulation (GDPR) and the Spanish Organic Law 3/2018 on Personal Data Protection and Guarantee of Digital Rights (LOPDGDD).

Either party may terminate this Purchase Order with a written notice of sixty (60) days. In the event of material breach by the Supplier, the Buyer may terminate immediately upon written notice. Any disputes arising from this Purchase Order shall be resolved through the competent courts of Madrid, Spain Madrid, in accordance with Spanish civil and commercial law. The parties may, by mutual agreement, opt for arbitration under the rules of the Madrid Chamber of Commerce.

This Purchase Order constitutes a binding procurement document upon signature by both parties. The Supplier's acceptance of this Purchase Order confirms that the Financial Analyst described herein meets all stated qualifications and that the Supplier is fully authorized to provide the services outlined in this document within the jurisdiction of Spain Madrid.
