This Purchase Order is issued by Nile Valley Corporate Services Ltd., headquartered in Sudan Khartoum, to formally engage the services of a qualified Financial Analyst through Khartoum Professional Talent Solutions LLC. The purpose of this Purchase Order is to procure professional financial analysis services for a period of twelve (12) months, commencing on 1 August 2025. The Financial Analyst shall be responsible for preparing quarterly financial reports, conducting variance analyses, forecasting revenue and expenditure streams, and providing strategic advisory support to the executive management team of Nile Valley Corporate Services Ltd. in Sudan Khartoum.

2. Scope of Services – Financial Analyst Engagement

The Financial Analyst engaged under this Purchase Order shall perform the following duties and deliverables within the operational jurisdiction of Sudan Khartoum:

3. Terms and Conditions

Commencement and Duration: The Financial Analyst services shall commence on 1 August 2025 and shall continue for a period of twelve (12) months, unless terminated earlier in accordance with Clause 8 of this Purchase Order.
Place of Performance: All services under this Purchase Order shall be rendered at the principal office of Nile Valley Corporate Services Ltd., located in Sudan Khartoum, or at such other location within Sudan Khartoum as mutually agreed in writing by both parties.
Payment Terms: Payment shall be made in monthly installments within thirty (30) days of receipt of an approved invoice from the Financial Analyst. All payments shall be processed in Sudanese Pounds (SDG) via bank transfer to the account designated by Khartoum Professional Talent Solutions LLC, in compliance with the Central Bank of Sudan regulations applicable in Sudan Khartoum.
Qualifications of the Financial Analyst: The Financial Analyst engaged under this Purchase Order must hold a minimum of a Bachelor's degree in Finance, Accounting, or a related discipline, possess a professional certification (CFA, CPA, or equivalent), and demonstrate a minimum of five (5) years of relevant experience in financial analysis within the Sudanese or regional market.
Confidentiality: The Financial Analyst shall maintain strict confidentiality regarding all financial data, proprietary information, and business strategies of Nile Valley Corporate Services Ltd. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
Compliance with Local Law: All services rendered under this Purchase Order shall comply with the laws of the Republic of Sudan, including but not limited to the Companies Act, the Taxation Act, and all regulatory directives issued by the Central Bank of Sudan and the National Revenue Authority as applicable in Sudan Khartoum.
Intellectual Property: All reports, models, analyses, and deliverables produced by the Financial Analyst in the course of this Purchase Order shall be the exclusive property of Nile Valley Corporate Services Ltd. upon full payment.
Termination: Either party may terminate this Purchase Order by providing thirty (30) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Upon termination, the Financial Analyst shall deliver all work-in-progress and completed deliverables to Nile Valley Corporate Services Ltd.
Dispute Resolution: Any dispute arising from or in connection with this Purchase Order shall first be attempted to be resolved through amicable negotiation. Failing resolution within thirty (30) days, the dispute shall be referred to arbitration in Sudan Khartoum in accordance with the Sudanese Arbitration Act, and the decision of the arbitrator shall be final and binding.
Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Sudan, with jurisdiction vested in the competent courts of Sudan Khartoum.

4. Acceptance and Authorization

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of the Financial Analyst in Sudan Khartoum. This document constitutes a binding agreement between the parties upon execution.
